REV: 04-24-25 LF <br />CONSENT TO ASSIGNMENT AGREEMENT <br />BY AND BETWEEN THE <br />CITY OF REDWOOD CITY, CALIFORNIA, <br />CROSBY GROUP ENGINEERS ARCHITECTS, INC. dba CROSBY GROUP <br />AND <br />CALIFORNIA COLORADO MARTIN/MARTIN, INC. dba MARTIN/MARTIN <br />CONSULTING ENGINEERS <br />This consent to assignment agreement (“Consent Agreement”) is entered into and <br />effective as of day of , 2025 (“Effective Date”), by and between <br />the City of Redwood City, California, a charter city and municipal corporation of the State <br />of California, (“City”), Crosby Group Engineers Architects, Inc. dba Crosby Group, a <br />California corporation, (“Assignor”) and California Colorado Martin/Martin, Inc. dba <br />Martin/Martin Consulting Engineers, a Colorado corporation (“Assignee”) (collectively, the <br />“Parties”). <br />RECITALS <br />A. City and Assignor previously executed that certain Agreement for Services, <br />dated as of January 5th, 2022 (the “Original Agreement”). <br />B. Subsequently, City and Assignor executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of January 5, 2025. The Original Agreement <br />and Amendment No.1 are collectively known as “the Agreement for Services.” <br />C. Section 25 of the Original Agreement (“Successors and Assigns”) provides <br />as follows: “Consultant may not assign this Agreement, nor any part of it, nor any monies <br />due or to become due under it without the prior written consent of City, which City may <br />withhold in its sole discretion.” <br />D. City has been informed that effective March 17, 2025 Assignee has <br />purchased Assignor pursuant to an Asset Purchase Agreement, and as such, Assignee <br />will continue to provide the services to the City under the Agreement for Services, as it <br />may have been amended from time to time. <br />E. Assignor and Assignee desire to obtain the City’s consent to the assignment <br />of all rights, obligations and interest in the Agreement for Services, as it may have been <br />amended from time to time, from Assignor to Assignee. <br />F. It is the desire of City to formally consent to the assignment by Assignor of <br />all its rights, obligations and interest in the Agreement for Services, as it may have been <br />amended from time to time, to Assignee. <br />In consideration of the above referenced recitals and the following mutual <br />covenants, commitments and obligations, the Parties agree, as follows: <br />ATTY/AGR.2025.086/California Colorado Martin/Martin, Inc. dba Martin/Martin, Inc.
