REV: 04-24-25 LF <br />CONSENT AGREEMENT PROVISIONS <br />1. City hereby consents to the assignment of the Agreement for Services, as it may <br />have been amended from time to time, and all of the rights, duties, obligations and interest <br />set forth therein from Assignor to Assignee. This consent is based on representations <br />made by Assignor and Assignee that all the duties and obligations of Assignor to perform <br />specified services included in the Agreement for Services, as it may have been amended <br />from time to time, shall be performed by Assignee. <br />2. City acknowledges and relies on this acceptance by Assignee of all of the rights, <br />obligations and interest in the Agreement for Services, as it may have been amended <br />from time to time, and the relinquishment of all such rights, obligations and interest in the <br />Agreement for Services, as it may have been amended from time to time, by Assignor. <br />Assignee agrees to undertake any and all action(s) necessary to meet the terms and <br />conditions of the Agreement for Services, as it may have been amended from time to <br />time, referred to in this Consent Agreement. <br />3. Upon execution of this Consent Agreement any debts or obligations due to City on <br />or after March 17, 2025, and those which subsequently arise or accrue from the terms <br />and conditions of the Agreement for Services, as it may have been amended from time <br />to time, shall become payable by Assignee to the City or its agents, or assigns. <br />4. This Consent Agreement embodies the entire agreement concerning the <br />assignment of the Agreement for Services, as it may have been amended from time to <br />time. No verbal agreements or conversation with any officer, agent or employee of City <br />prior to execution of this Consent Agreement shall affect or modify any of the terms or <br />obligations contained in this Consent Agreement. Any such verbal agreement shall be <br />considered as unofficial information and in no way binding upon City. <br />5. As a condition of the terms of this Consent Agreement, Assignee shall provide the <br />City prior to the execution of this Consent Agreement with the following: <br />a. Certificate of Insurance, as well as all policy endorsements to indicate that <br />Assignee has purchased, and is maintaining, all of the required insurance policies <br />and has provided the required endorsements which were included in the terms and <br />conditions of the Agreement for Services, as it may have been amended from time <br />to time. <br />b. Business license as required by City. <br />6. If all Parties agree, electronic signatures may be used in place of original <br />signatures on this Consent Agreement. Each Party intends to be bound by the signatures <br />on the electronic document, is aware that the other Parties will rely on the electronic <br />signatures, and hereby waives any defenses to the enforcement of the terms of this <br />Consent Agreement based on the use of an electronic signature.
