REV: 05-08-25 MI <br />10. Insurance Requirements. Parties shall obtain and maintain for the duration of the <br />Agreement and any and all amendments, insurance against claims for injuries to persons or <br />damage to property which may arise out of or in connection with performance by the Parties in <br />the amounts specified below. The insurance carrier is required to maintain an A.M. Best rating of not <br />less than “A-:VII”. The insurance policies shall meet or exceed the following: <br />A.General Liability Insurance. $2,000,000 combined single-limit per occurrence for <br />bodily injury, personal injury and property damage. If the submitted policies contain <br />aggregate limits, general aggregate limits will apply separately to the work under this <br />Agreement or the general aggregate will be twice the required per occurrence limit. The <br />Commercial General Liability Insurance policy will be endorsed to name each respective <br />Party's officers, agents, volunteers and employees as additional insureds. Respective <br />Parties' insurance coverage will be primary insurance with respect to the other Party, its <br />officers, agents, volunteers and employees. Any insurance or self-insurance maintained by <br />a Party for itself, its officers, agents, volunteers, and employees, will be in excess of other <br />Party's insurance and not contributory with it. <br />B.Automobile Liability. $1,000,000 combined single-limit per accident for bodily <br />injury and property damage. <br />C.Workers Compensation and Employer's Liability Insurance. Coverage meeting <br />or exceeding statutory limits. <br />D.Notice of Cancellation. This insurance will be in force during the life of the <br />Agreement and any extensions of it and will not be canceled, reduced, or materially <br />changed without thirty (30) days prior written notice sent pursuant to the Notice <br />provisions of this Agreement. <br />E.Providing Certificates of Insurance and Endorsements. Prior to execution of this <br />Agreement, Parties will exchange certificates of insurance and endorsements. <br />F.Submission of Insurance Policies. Respective Parties reserve the right to require, <br />at any time, complete and certified copies of any or all required insurance policies and <br />endorsements. <br />G.Right to Self-Insure. Notwithstanding the above, both Parties will have the right <br />to self- insure against any and all perils and/or liabilities against which it would <br />otherwise be required to insure and will also have the right to effect any such insurance <br />by means of so-called “blanket' or “umbrella” policies of insurance. <br />11. Notice. Any notices required or permitted pursuant to the terms and provisions of this <br />agreement shall be given to the appropriate Party at the address specified below or at such other <br />address as the Party shall specify in writing.
