REV: 05-08-25 MI <br />City: City of Redwood <br />City Attn: City <br />Manager 1017 <br />Middlefield Road <br />Redwood City, CA 94063 <br />Fire District: Woodside Fire Protection <br />District Attn: Fire Chief <br />3111 Woodside Road <br />Woodside, CA 94062 <br />Each party will notify the other immediately of any changes of address that would require any <br />notice or delivery to be directed to another address. The Fire Chief is authorized to provide any <br />notices required in this Agreement on behalf of the Fire District and the City Manager is <br />authorized to provide any notices required in this Agreement on behalf of the City. <br />12. Jurisdiction and Venue. Any action at law or in equity brought by any of the Parties for <br />the purpose of enforcing a right or rights provided for or by this Agreement will be tried in a court <br />of competent jurisdiction in the County of San Mateo, State of California, and the Parties waive <br />all provisions of law providing for a change of venue in these proceedings to any other county. <br />13. Litigation Support. City and Fire District will make its respective designated staff available <br />to testify in any litigation or administrative hearing which occurs following the termination of this <br />Agreement. City and Fire District shall compensate each respective entity for costs and expenses <br />incurred by the designated staff's preparation, travel, and testimony in such matters at the <br />employee's then-current hourly rate of compensation, unless such litigation or administrative <br />matter is brought by City or Fire District or is based on allegations of City or Fire District's <br />negligent performance or wrongdoing. <br />14. Severability. If any term or portion of this Agreement is held to be invalid, illegal, or <br />otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this <br />Agreement shall continue in full force and effect. <br />15. General Compliance with Laws. Parties will keep fully informed of federal, state and local <br />laws and ordinances and regulations which in any manner affect those employed by Parties, or in <br />any way affect the performance of the services by Parties. Each Party shall comply with all <br />applicable present and future federal laws, state laws, local laws, codes, rules, regulations, and/or <br />orders that relate to the work or services to be provided pursuant to this agreement. <br />16. Discrimination and Harassment Prohibited. Parties will comply with all applicable local, <br />state and federal laws and regulations prohibiting discrimination and harassment. <br />17. Termination. This Agreement may be terminated without cause by any Party upon giving <br />written notice thereof, in accordance with Section 11, thirty (30) days or more prior to the effective <br />date. The effective date shall be set forth in the notice of termination, provided however if such <br />effective date is not set forth in the notice of termination, then the effective date of termination <br />ATTY/AGR.2025.079/Woodside Fire Protection District (EMS Services) (Page 5 of 7)
