REV: 05-08-25 MI <br />shall be thirty (30) days after delivery or posting of said notice in accordance with Section 11. <br />18. Successors and Assigns. It is mutually understood and agreed that this Agreement will be <br />binding upon the Parties and their respective successors. Neither this Agreement nor any part of <br />it nor any monies due or to become due under it may be assigned by Parties without the prior <br />consent of City, which will not be unreasonably withheld. <br />19. Paragraph Headings. Paragraph headings as used herein are for convenience only and <br />will not be deemed to be a part of such paragraphs and will not be construed to change the meaning <br />thereof. <br />20. Entire Agreement. This Agreement embodies the entire Agreement and understanding <br />between the Parties relating to the subject matter of it. In case of conflict, the terms of the <br />Agreement supersede any purchase order and any attachment or exhibit. Neither this Agreement <br />nor any of its provisions may be amended, modified, waived or discharged except in a writing <br />signed by both parties. <br />21. Notice of Claim. If any claim for damages is filed with a Party or if any lawsuit against a <br />Party is instituted, concerning a Party’s performance under this agreement that in any way, directly <br />or indirectly, contingently or otherwise, affects or might reasonably affect the other Party, the <br />Party shall give prompt and timely notice thereof to the other party. Notice shall be prompt and <br />timely if given within 30 days following the date of receipt of a claim or 10 days following the <br />date of service of process of a lawsuit. This provision shall survive the termination, expiration, or <br />cancellation of this agreement. <br />22. Authority.
