REV: 07-03-25 VR <br />EXHIBIT “A” <br />SCOPE OF SERVICES <br />1.The Site. <br />For purposes of this Agreement, the Site shall refer to the Jefferson Underpass <br />in Redwood City, CA depicted in the attached photograph herein in Exhibit A. <br />2. Scope of Services. <br />Artist shall restore the artwork on the wall area underneath the Underpass (320 <br />square feet), the area to the left of the underpass where fire damage has <br />occurred (15 square feet), and the wall panel to the right of the underpass (96 <br />square feet) by applying mural art to the Jefferson Underpass wall (Phase 1). <br />The scope also includes touch ups to a scratch running the length of the wall, <br />paint chips, areas of significant discoloration, and foggy wall sealant. The touch <br />up work includes 17 areas (10 small chips and scratches and 7 larger sections, <br />comprising a total area of 217 square feet) (Phase 2). The mural art of Jefferson <br />Underpass wall as depicted in Exhibit A shall hereinafter be referred to as “the <br />Work” City shall provide a UV anti-graffiti coating over the Work within one week <br />of application, weather permitting. <br />City shall provide all necessary approvals for the installation of the Work, <br />including an encroachment permit, if necessary, for Artist’s use of public rights- <br />of-way for installation of the Work, at no cost to the Artist. Artist shall not be held <br />responsible for any delay caused by the actions or failure to act of City’s officer’s <br />agents or employees. <br />The mural design should be sufficiently detailed to defer graffiti. <br />3. Compensation. <br />The total fee for the design and installation of the Work will be a flat rate fee of <br />$38,760. This amount shall constitute full compensation for all services, <br />materials and fees to be performed or furnished by Artist as described in Section <br />2, Scope of Services. <br />Such payment shall be full compensation for all work performed and services <br />rendered, for all supervision, labor, supplies, materials, equipment or use <br />thereof, insurance, travel, taxes, and for all other necessary incidentals, including <br />transportation of the Work to the designated site. In the event the Artist incurs <br />costs in excess of the total price, the Artist shall pay such excess for his/her own <br />funds, and the City shall not be required to pay any part of such excess, and the <br />Artist shall have no claim against the City on account thereof. <br />No payment to the Artist for any work performed or services rendered shall <br />constitute a waiver or release by the City of any claims, rights, or remedies it may <br />have against the Artist under this Agreement or by law, nor shall such payment <br />constitute a waiver, remission, or discharge by the City of any failure or fault of <br />the Artist to satisfactorily perform the Work as required under this Agreement. <br />ATTY/AGR.2025.165/Rachel Wolfe-Goldsmith (Visions of Equity Restoration) (Page 8 of 11)
