In July 2020, the agreement lapsed, but Baker & Taylor continued to provide services in <br />accordance with contract terms, and the original not-to-exceed amount was not expended before the <br />approval of Amendment No. 1. On February 10, 2022, the City executed Amendment No. 1 to extend the <br />agreement through February 9, 2024. On February 10, 2024, the City executed Amendment No. 2 to <br />extend the agreement through February 9, 2026. <br />Type Effective Date Term Not-to-Exceed Amount <br />2017 Agreement July 25, 2017 July 25, 2017-July 24, <br />2020 <br />$1,500,000 <br />2022 Amendment No. 1 February 10, 2022 February 10, 2022 – <br />February 9, 2024 <br />$1,000,000 <br />2024 Amendment No. 2 February 10, 2024 February 10, 2024 – <br />February 9, 2026 <br />$1,000,000 <br />Total Not-to-Exceed $3,500,000 <br />On September 10, 2025, the City was informed that Baker & Taylor has entered into a Letter of Intent to <br />be acquired by ReaderLink Distribution Services, LLC (“ReaderLink.”) ReaderLink expressed interest in <br />continuing to work with the City under the same terms agreed upon by the City and Baker & Taylor under <br />the Agreement for Services and asked the City for consent to assign the Agreement for Services to <br />Readerlink for the remainder of the term. <br />ANALYSIS <br />Approving the Consent to Assignment Agreement to Readerlink will generate efficiency in operations for <br />the City by continuing to utilize the current workflow and specifications for ordering and processing library <br />materials without interruption. Staff anticipate that the Library will continue to work with the same key <br />personnel that the City has worked with throughout the course of the Agreement for Services. The current <br />agreement also provides favorable pricing terms, although the City will conduct an RFP process this winter <br />due to the upcoming expiration of the Agreement for Services. <br />Staff recommends approval and authorization for the City Manager to execute the Consent to Assignment <br />Agreement with ReaderLink for the remainder of the term. <br />FISCAL IMPACT <br />The total not-to-exceed amount of the Agreement for Services will remain unchanged. <br />7.E. - Page 2 of 28 <br />155
