GRANTOR: PENINSULA BUILDING MATERIALS CO., A NEVADA CORPORATION, APN: 052-394-510, -520, -530, -540 (portion) <br />AS TO AN UNDIVIDED % INTEREST AND GRANITE ROCK COMPANY, A PROJECT PARCEL NO. 64077 <br />CALIFORNIA CORPORATION, AS TO AN UNDIVIDED IA INTEREST <br />PROJECT: US HIGHWAY 101 /STATE ROUTE 84 (WOODSIDE ROAD) INTERCHANGE IMPROVEMENT PROJECT <br />rights and remedies set forth herein shall be cumulative and not exclusive and shall be in <br />addition to any and all other remedies which the parties may have hereunder at law or in <br />equity, including institution and prosecution by CITY of an action in eminent <br />domainagainst GRANTOR and the right to enforce this Agreement in such action if the <br />purchase and sale transaction as set forth herein is not consummated. <br />21. Time of the Essence. <br />Time is of the essence of each provision of this Agreement in which time is an element. <br />22. Entire Agreement. <br />This Agreement (which includes all exhibits hereto) embodies the entire agreement and <br />understanding between the parties relating to the subject matter hereof, and all prior <br />negotiations, agreements and understandings, oral or written, are hereby revoked, cancelled <br />and rescinded and are all merged herein and superseded hereby. Any amendment to this <br />Agreement, including any oral modification supported by new consideration, must be reduced <br />to writing and signed by both parties in order to be effective. <br />23. Governing Law. <br />This Agreement shall be governed by and construed in accordance with the laws of the <br />State of California, without regard to conflict of laws rules. <br />24.
