4 <br /> <br />County. Prior to commencement of the enforcement process, the County <br />shall engage with individuals residing in an encampment in an attempt to <br />locate housing opportunities for such individuals. The County shall <br />provide an available Shelter Location for an individual (or individuals) <br />during enforcement of the City’s Hopeful Horizon’s Ordinance against <br />such individual(s), as required by Section 49.5(a) of the City’s Hopeful <br />Horizons Ordinance. However, prior to commencement of the <br />enforcement process against an individual (or individuals), the Parties <br />shall cooperate in good faith to ensure there are sufficient available Shelter <br />Locations to accommodate such individual(s) and, if there are not <br />sufficient available Shelter Locations, enforcement shall not commence <br />against such individual(s). <br /> <br />3. The Parties will take all reasonable steps to coordinate in advance of any <br />enforcement action to ensure that all deadlines and requirements set forth in <br />the City’s Hopeful Horizons Ordinance are met. <br /> <br />4. The County shall be relieved of any responsibilities provided for in this <br />MOU in the event that the City’s Hopeful Horizons Ordinance is for any <br />reason held invalid, unenforceable, or otherwise rendered inoperative due <br />to the actions of any court, legislative, or other body. <br /> <br />D. Amendments. Any changes, modifications, revisions, or amendments to <br />this MOU which are mutually agreed upon by and between the Parties to this MOU shall <br />be incorporated by written instrument, and effective when executed and signed by all <br />Parties to this MOU. <br /> <br />E. Governing Law. The construction, interpretation, and enforcement of this <br />MOU shall be governed by the laws of the State of California. The courts of the State of <br />California, County of San Mateo shall have jurisdiction over any action arising out of this <br />MOU and over the Parties, and the venue for any such actions shall be the Superior Court <br />for the County of San Mateo or the United States District Court for the Northern District <br />of California. <br /> <br />F. Complete Agreement. This MOU represents the entire, integrated MOU <br />between the Parties regarding the subject matter hereof and supersedes all prior <br />negotiations, representations, and agreements, whether written or oral. <br /> <br />G. Severability. Except as otherwise set forth herein, should any portion of <br />this MOU be judicially determined to be illegal or unenforceable, the remainder of the <br />MOU shall continue in full force and effect, and either Party may renegotiate the terms <br />affected by the severance. <br />Docusign Envelope ID: 5ED92C3C-6B86-455C-A143-F96E1752BA85
