ATTY/RESO.0112/CC RESO.0112/CC RESO APPROVING THIRD AMENDMENT TO MASTER PROJECT AGREEMENT (YMCA PROJECT) – EXHIBIT A <br />REV: 11-06-25 VR <br />Page 1 of 39 <br />THIRD AMENDMENT TO <br />MASTER PROJECT AGREEMENT <br /> <br />This THIRD AMENDMENT TO MASTER PROJECT AGREEMENT (“Third <br />Amendment”) is made and entered into effective as of ________________, 2025, (the “Third <br />Amendment Date”), by and between the CITY OF REDWOOD CITY, a charter city and California <br />municipal corporation (“City”) and YOUNG MEN'S CHRISTIAN ASSOCIATION OF SILICON <br />VALLEY, a California non-profit public benefit corporation (a/k/a YMCA of Silicon Valley) <br />(“YMCA-SV”). City and YMCA-SV are sometimes referred to herein, individually, as a “Party” <br />and, collectively, as the “Parties”. <br />RECITALS <br />A. City and YMCA-SV are parties to a Master Project Agreement dated December 16, 2019 <br />(“Original Agreement”), as amended by that certain First Amendment to Master Project <br />Agreement dated March 18, 2022, and that certain Second Amendment to Master Project <br />Agreement dated March 18, 2025 (respectively the “First Amendment” and “Second <br />Amendment,” and collectively with the Original Agreement, the “Master Agreement”). <br />Capitalized terms not otherwise defined herein shall have the meanings set forth in the <br />Master Agreement. <br />B. As contemplated by the Master Agreement, City has made substantial progress towards <br />completing the VMB/SC, the Promenade, the Traffic Improvements, and the East Parking <br />Lot; the foregoing Phase 1 improvements are anticipated to be substantially complete by <br />January of 2026. Section 9.17 (Modifications; Amendments) of the Master Agreement <br />provides that the Parties can mutually agree on modifications or amendments, but that any <br />substantive or significant alteration, change, modification or amendment of or to the <br />Agreement shall require approval by the City Council. <br />C. Since the Parties’ approval of the Conceptual Site Plan in 2019, the Parties have worked <br />through various changes to the Project, including Phase 2 Improvements, which include: <br />(i) increasing the New YMCA building square footage from 35,000 to 36,353 square feet, <br />(ii) respecting Valota Green as an active park space and introducing an additional 20 foot <br />wide emergency access driveway on Madison Avenue instead of the original proposed <br />two-way driveway on Valota Road, (iii) providing a total of 236 Phase 2 parking spaces <br />through construction of a smaller West Parking Lot, restriping of various nearby off-street <br />surface parking lots, and construction and striping of certain on-street parking spaces, and <br />(iv) installation of certain capacity size upgrades to sanitary sewer segments designated in <br />the City’s 2023 Sanitary Sewer Capacity Master Plan as segments C3, C12, and C13, <br />together with an upsized sanitary sewer segment from the New YMCA point of connection <br />to segment C12, as more particularly described herein and in the Final Approved Plans for <br />the Project (collectively, the “2025 Modifications”). <br />D. In connection with City Council’s consideration of this Third Amendment, the City <br />Council has approved an Addendum to the Final EIR certified by the City Council on <br />December 16, 2019 (“2025 Addendum”), which 2025 Addendum evaluates the potential
