<br />Exhibit I <br />4918-4747-2756 v9 <br />ATTY/RESO.0112/CC RESO.0112/CC RESO APPROVING THIRD AMENDMENT TO MASTER PROJECT AGREEMENT (YMCA PROJECT) – EXHIBIT A <br />REV: 11-06-25 VR <br />EXHIBIT I <br /> <br />Amended Basic Common Area Maintenance, Utilities and Operating Principles <br /> <br />Common Area Maintenance and Utilities : <br />• The City shall maintain or engage services to maintain the project common areas including the West <br />Parking Lot, East Parking Lot, Drop Off Area, Promenade and landscaped areas. The maintenance <br />effort shall meet or exceed the City's standard maintenance practices. City shall manage and operate <br />all landscape irrigation systems including landscape irrigation facilities and equipment located on the <br />YMCA Site. YMCA-SV shall install a water meter for the YMCA Site landscape irrigation system <br />so that the irrigation water use is separately metered from the New YMCA water use. <br />• YMCA-SV, shall install EV car chargers approved by the Public Works Director on the West Parking <br />Lot per Condition of Approval B1 and ensure that the EV car chargers are separately tracked for <br />electricity use. Following completion of the EV charger installation work, YMCA-SV shall transfer <br />ownership and responsibility of the EV car chargers to the City and City shall be responsible for paying <br />all expenses including electricity charges (by paying YMCA-SV for the tracked electricity usage) and <br />EV vendor charges and retaining any/all revenues generated from the EV chargers. <br />• YMCA-SV shall be responsible for all electricity charges, including parking lot lighting associated <br />with the West Parking Lot and Drop Off Area which need not be separately metered (other than for <br />the EV chargers). City shall be responsible for all electricity charges, including parking lot lighting, <br />associated with the East Parking Lot and Promenade which are not separately metered. <br /> <br />• The YMCA-SV shall pay 100% the installation and ongoing operating and maintenance costs for the <br />West Parking Lot Photovoltaic Panels and associated electrical infrastructure (except the supporting <br />structure) shall be entitled to all electricity revenues generated by the Photovoltaic Panels. <br /> <br />• The City will pay 100% for ongoing operating and maintenance costs for the two (2), 50 amp <br />outlets/connections used for City events. Electrical cost to be tracked by YMCA-SV and billed to <br />the City. <br /> <br />• Unanticipated damage in the West Parking Lot or Drop Off Areas that is not covered by insurance, or <br />third parties shall be split 50% unless such incidents involve special circumstances such as third-party <br />vendors responsible for the occurrence. If the damage occurs due to events, vendors or programs <br />managed by the City or by the YMCA-SV, the managing Party shall be responsible for the repair costs. <br />Damages over Ten Thousand Dollars ($10,000) shall be discussed by the Operational Team. <br /> <br />• In support of the common area maintenance (“CAM”) costs borne by the City, once the YMCA-SV <br />has received a certificate of occupancy for the New YMCA and the West Parking Lot and drop-off <br />area construction is complete, the YMCA-SV shall pay a flat fee of Thirty Five Thousand Dollars <br />($35,000) per year with an annual escalator of 3% which includes landscaping, tree maintenance, <br />irrigation infrastructure, irrigation repairs, lighting maintenance, graffiti removal and common area <br />refuse management (other than electricity and water which are included in 50/50 cost allocation set <br />forth below), and shall also contribute 50% of the landscape irrigation water use and common area <br />asphalt maintenance costs on a monthly basis, as follows:
