<br />Exhibit I <br />4918-4747-2756 v9 <br />ATTY/RESO.0112/CC RESO.0112/CC RESO APPROVING THIRD AMENDMENT TO MASTER PROJECT AGREEMENT (YMCA PROJECT) – EXHIBIT A <br />REV: 11-06-25 VR <br /> <br />* 50% of Common Area domestic and recycled water <br />* 50% of asphalt maintenance costs for the Common Area asphalt. To the extent possible, <br />the City and YMCA-SV shall plan for asphalt maintenance work, communicating the need in <br />advance of annual budgeting processes through a common Operational Team (see below). <br />* 50% of the ongoing maintenance costs for the support structure where the Photovoltaic <br />Panels are located. <br />[Note: ongoing Red Morton Park lighting outside the scope of the Common Area is to be paid <br />exclusively by the City]. <br />Examples of items not included as part of CAM include underground utility connections and <br />repairs, public street & traffic mitigation measures, facility doors, walls, windows, roofs, <br />skylights, building interiors, building painting, lights attached to each facility, fences, fenced in <br />areas and refuse collection associated with each individual facility. <br />An Operational Team including the City's Parks and Recreation Director and the YMCA-SV <br />Branch Executive Director, or their designees, shall meet not less than annually to review <br />planned maintenance activities. Changes to the common area maintenance scope of services are <br />to be discussed among the Operational Team, and any disputes arising concerning maintenance, <br />costs or program delivery where the Parks and recreation Directors and the YMCA-SV <br />Executive Director are not able to resolve those issues, the City Manager and the YMCA-SV <br />CEO shall meet to resolve any disagreements. <br />Operating Provisions <br />An Operational Team including the City's Parks and Recreation Director and the Redwood City <br />YMCA-SY Executive Director and/or their designees shall be established to continually plan <br />and oversee all programs and services in Red Morton Park following the opening of the New <br />YMCA. Below are the guidelines for program delivery, noting that modifications that can be <br />made through periodic partner meetings with the Director of Parks and the Redwood City <br />YMCA-SY Executive Director. <br />In recognition of evolving program delivery models over time, if either Party wishes to make <br />changes to the programs described below within its respective purview, the Operational Team <br />will discuss the proposed programming changes to help ensure there is minimal, if any, service <br />overlap. Should any disputes arise concerning program delivery, the City Manager and <br />YMCA-SV's CEO shall cooperate to jointly resolve any issues. The Parties may enter into an <br />agreement to memorialize the intent set forth in these guidelines. <br /> <br />A. RWC Operated Programs in Red Morton Park <br />1.
