From City: <br />a) City's Certificates of Acceptance of the HCP Deed, HCP Easement Deed, the <br />MetLife Deed, the MetLife Easement Deed, the SCOA MetLife Quitclaim <br />Deed, the SCOA HCP Quitclaim Deed, and the SCOA City Quitclaim Deed <br />(all as defined below), substantially in the form attached as Attachment 5 to <br />the Agreement (individually "Certificate of Acceptance'), duly and properly <br />executed by the City Manager on behalf of City, and properly acknowledged. <br />b) The City's Closing Certificate, substantially in the form attached as <br />Attachment 6 to the Agreement ("Closing Certificate"), duly and properly <br />executed by an authorized representative of City. <br />c) Two (2) duplicate originals of the General Assignment by and between HCP <br />and City, substantially in the form attached as Attachment 8 to the Agreement <br />("Assignment"), each duly and properly executed in counterpart by the City <br />Manager on behalf of City, as Assignee, approved as to form by the City <br />Attorney and attested by the City Clerk. <br />d) Two (2) duplicate originals of the Assignment by and between MetLife and <br />City, substantially in the form attached as Attachment 8 to the Agreement, <br />each duly and properly executed in counterpart by the City Manager on behalf <br />of City, as Assignee, approved as to form by the City Attorney and attested by <br />the City Clerk. <br />e) Two (2) duplicate originals of the Assignment by and between SCOA and <br />City, substantially in the form attached as Attachment 8 to the Agreement, <br />each duly and properly executed in counterpart by the City Manager on behalf <br />of City, as Assignee, approved as to form by the City Attorney and attested by <br />the City Clerk. <br />f) Additional documents that First American Title Company may reasonably <br />require from City to satisfy its conditions for Closing. <br />5. From HCP: <br />a) HCP's Easement Deed substantially in the form attached as Attachment 3-1 <br />to the Agreement ("HCP Easement Deed"), duly and properly executed by an <br />authorized representative of HCP and properly acknowledged, transferring to <br />City easement rights with respect to those Levee Assets as described in the <br />HCP Easement Deed and in the location described and depicted in the <br />exhibits attached to the HCP Easement Deed ("HCP Levee Area <br />Description"). <br />b) HCP's Grant Deed substantially in the form attached as Attachment 3-3 to the <br />Agreement ("HCP Deed"), duly and properly executed by an authorized <br />representative of HCP and properly acknowledged, transferring to City the <br />Levee Assets described in the HCP Deed and in the location described in the <br />HCP Levee Area Description attached thereto. <br />c) RCP's Closing Certificate, duly and properly executed by an authorized <br />representative of HCP. <br />2025.276 - SEAPORT PURCHASE AGREEMENT <br />REV: 10-15-25 VR <br />
