SURKE, WILLIAMS & SORENSEN, LLP <br />Page 3 <br />d) Two (2) duplicate originals of the Assignment, each duly and properly <br />executed in counterpart by an authorized representative of HCP, as Assignor. <br />e) Additional documents that First American Title Company may reasonably <br />require from HCP to satisfy its conditions for Closing. <br />6. From MetLife: <br />a) MetLife's Easement Deed substantially in the form attached as Attachment 3- <br />2 to the Agreement ("MetLife Easement Deed"), duly and properly executed <br />by an authorized representative of MetLife and properly acknowledged, <br />transferring to City easement rights with respect to the Levee Assets <br />described in the MetLife Easement Deed and in the location described and <br />depicted in the exhibits attached to the MetLife Easement Deed ("MetLife <br />Levee Area Description"). <br />b) MetLife's Grant Deed substantially in the form attached as Attachment 3-4 to <br />the Agreement ("MetLife Deed"), duly and properly executed by an authorized <br />representative of MetLife, and properly acknowledged, transferring to City the <br />Levee Assets located within the MetLife Levee Area Description. <br />c) MetLife's Closing Certificate, duly and properly executed by an authorized <br />representative of MetLife. <br />d) Two (2) duplicate originals of the Assignment, each duly and properly <br />executed in counterpart by an authorized representative of MetLife, as <br />Assignor. <br />e) Additional documents that First American Title Company may reasonably <br />require from MetLife to satisfy its conditions for Closing. <br />7. From SCOA: <br />a. SCOA's Closing Certificate, duly and properly executed by an authorized <br />representative of SCOA; <br />b. Two (2) duplicate originals of the Assignment, each duly and properly <br />executed in counterpart by an authorized representative of SCOA, as <br />Assignor; <br />c. SCOA's Quitclaim Deed substantially in the form attached as Attachment 3-5 <br />to the Agreement ("SCOA HCP Quitclaim Deed"), duly and properly executed <br />by an authorized representative of SCOA, and properly acknowledged, <br />quitclaiming any interest SCOA may have in the Levee Assets located within <br />the HCP Levee Area Description; <br />d. SCOA's Quitclaim Deed substantially in the form attached as Attachment 3-6 <br />to the Agreement ("SCOA MetLife Quitclaim Deed"), duly and properly <br />executed by an authorized representative of SCOA, and properly <br />acknowledged, quitclaiming any interest SCOA may have in the Levee Assets <br />located within the MetLife Levee Area Description; <br />e.
