BURKE, WILLIAMS &SORENSEN, LLP Page 4 by an authorized representative of SCOA, and properly acknowledged, quitclaiming any interest SCOA may have in the levee improvements located on the City's property identified as Assessor Parcel Numbers 054-320-040; 054-320-500 and 054-320-510; Any additional documents that First American Title Company may reasonably require from SCOA to satisfy its conditions for Closing. You are requested and instructed to notify the Parties when each of the above- described documents are received. The notification shall be by email to the Parties' contacts specified below. You are requested and instructed to consummate the Closing after all the above- described documents and funds are deposited with Title Company, and all applicable conditions of the Agreement have been satisfied or waived as specified in Section 2.1 of the Agreement and confirmed by the Parties' Closing Notices, or on such other date as the Parties may mutually agree in writing, but if the City approved the acceptance of the Levee Assets at its July 21, 2025 meeting Closing shall be consummated no later than July 28, 2025. To consummate the Closing, you are requested and instructed to: Insert the Closing Date in any undated closing documents, except that where a blank references the Agreement you should insert the date of the Agreement. Insert the date of the Second Amendment to Master Levee Agreement in the HCP Deed, HCP Easement Deed, MetLife Deed, and MetLife Easement Deed and in any other document where there is a date blank for the Second Amendment to Master Levee Agreement. Attach certificates of acceptance as follows: a. Attach the original Certificate of Acceptance for the HCP Easement Deed to the original HCP Easement Deed; b. Attach the original Certificate of Acceptance for the HCP Deed to the original HCP Deed; c. Attach the original Certificate of Acceptance for the MetLife Easement Deed to the original MetLife Easement Deed; d. Attach the original Certificate of Acceptance for the MetLife Deed to the original MetLife Deed; e. Attach the original Certificate of Acceptance for the SCOA MetLife Quitclaim Deed to the original SCOA MetLife Quitclaim Deed; f. Attach the original Certificate of Acceptance for the SCOA HCP Quitclaim Deed to the original SCOA HCP Quitclaim Deed; and g.
