REV: 11-21-25 LF <br />contain an endorsement stating that the insurer waives any right to <br />subrogation against the City, its officers, agents, employees and volunteers. <br />15.1.4 Professional Liability Insurance. Recipient will maintain coverage <br />with limits not less than $1,000,000 per occurrence. Professional Liability <br />may be written as claims-made coverage. <br />15.2 Notice of Cancellation. This insurance will be in force during the life of the <br />Agreement and any extensions of it and will not be canceled without Recipient <br />providing thirty (30) days prior written notice to City sent pursuant to the Notice <br />provisions of this Agreement. <br />15.3 Providing Certificates of Insurance and Endorsements. Prior to City’s <br />execution of this Agreement, Recipient will provide to City certificates of insurance <br />and above-referenced endorsements sufficient to satisfaction of City’s Risk <br />Manager. In no event will Recipient commence any work or provide any services <br />under this Agreement until certificates of insurance and endorsements have been <br />accepted by City’s Risk Manager. <br />15.4 Failure to Maintain Coverage. If Recipient fails to comply with these <br />insurance requirements, then City will have the option to declare Recipient in <br />breach. <br />15.5 Submission of Insurance Policies. City reserves the right to require, at any <br />time, complete copies of any or all required insurance policies and endorsements. <br />16. NON-DISCRIMINATION AND EQUAL OPPORTUNITY. Recipient warrants and <br />agrees it will not discriminate against any persons seeking services or employment under <br />this Agreement because of their age (40 and above), physical or mental disability, marital <br />status, race, color, national origin or ancestry, veteran status, religion, sex, pregnancy, <br />childbirth or related medical conditions, gender (including gender identity and gender <br />expression or perception), sexual orientation, medical condition, use of family medical <br />leave, or genetic testing, in the provision of services or extension of employment <br />opportunities under the Agreement. Recipient further warrants and agrees that it will <br />comply with all relevant local, state and Federal non-discrimination ordinances, statutes, <br />regulations, and executive orders pertaining to non-discrimination and equal opportunity, <br />including but not limited to, Title VI of the Civil Rights Act of 1964 as amended, Title VIII <br />of the Civil Rights Act of 1968 as amended, Section 104(b) and Section 109 of Title 1 of <br />the Housing and Community Development Act of 1974 as amended, Section 504 of the <br />Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age <br />Discrimination Act of 1975, Executive Order 11063 as amended by Executive Order <br />12259, 41 CFR Part 60, 24 CFR Section 570.607, as revised by Executive Order 13279. <br />Recipient will include a statement that it is an equal opportunity employer in all <br />solicitations or advertisements for subcontractors or employees. <br />ATTY/AGR.2025.312/St. Vincent de Paul of San Mateo County (Page 5 of 10)
