5. Supplemental Services.
<br />SUHSD may request City to provide additional law enforcement services for
<br />evening or weekend events such as community engagement, PTA meetings, Back to
<br />School Nights, Open House, athletic or performance events, dances, proms, or other
<br />school -sponsored events up to a maximum of 25 hours for the term of this Agreement.
<br />Any additional overtime beyond this amount will be billed at the officer's actual overtime
<br />rate and invoiced by the City for payment by SUHSD.
<br />6. Selection and Duties.
<br />The selection and specific duties of the assigned SLO shall be under the sole
<br />discretion of the City's Chief of Police. The Chief of Police is encouraged to solicit input
<br />from Sequoia High School administrators as to these issues.
<br />7. Mutual Indemnification and Hold Harmless.
<br />7.1 SUHSD will defend, indemnify, and hold harmless City and its officers,
<br />boards and commissions, agents, employees, and volunteers from and against
<br />any and all claims, suits, actions, damages, losses and expenses including
<br />reasonable attorney fees arising out of the performance of the services, caused in
<br />whole or in part by the willful misconduct or any negligent act or omission of
<br />SUHSD, any subcontractor of SUHSD, anyone directly or indirectly employed by
<br />any of them or anyone for whose acts any of them may be liable, except where
<br />caused by the sole negligence or willful misconduct of City.
<br />7.2 City will defend, indemnify, and hold harmless SUHSD, including their
<br />respective officers, boards and commissions, agents, employees, and volunteers
<br />from and against any and all claims, suits, actions, damages, losses and expenses
<br />including reasonable attorney fees arising out of the performance of the services,
<br />caused in whole or in part by the willful misconduct or any negligent act or omission
<br />of the City, any subcontractor of City, anyone directly or indirectly employed by any
<br />of them or anyone for whose acts any of them may be liable, except where caused
<br />by the sole negligence or willful misconduct of SUHSD.
<br />7.3. The duty of each Party to defend, hold harmless, and indemnify the other
<br />as set forth herein shall include the duty to defend as set forth in Section 2778 of
<br />the California Civil Code.
<br />7.4. Notwithstanding SUHSD's obligation to defend City hereunder, City has the
<br />right to conduct its own defense and seek reimbursement for reasonable costs of
<br />defense from SUHSD, if City chooses to do so.
<br />7.5. In the event of concurrent negligence (or intentional/reckless acts) of City
<br />and/or its respective officers, employees, agents, and servants, on the one hand,
<br />and SUHSD and/or its respective officers, employees, agents, and servants, on
