REV: 01-05-26 LR <br />1.13. “Security Incident” means the potentially unauthorized access by non- <br />authorized persons to City Data, Personal Data, or Non-Public Data that could <br />reasonably result in the use, disclosure, or theft of Personal Data or Non-Public <br />Data within the possession or control of Consultant, including but not limited to the <br />theft or loss of encrypted data. A Security Incident may or may not turn into a Data <br />Breach. <br />1.14. “Substantial Completion” means the date of achieving Substantial <br />Completion as defined in the Functional Specifications presented in Exhibit “A”. <br />1.15. “Third Party Applications” means online, web-based applications and offline <br />software products that are provided by third parties that may interoperate with the <br />Services, and are identified by Consultant as third-party applications. <br />1.16. “Users” means individuals who are authorized by City to use the Services, <br />and who have been supplied user identifications and passwords by City or by <br />Contractor at City request). Users may include but are not limited to City <br />employees, contractors and agents; or third parties with which City transacts <br />business. <br />1.17. “Warranty Labor” means the cost of Contractor providing onsite labor after <br />Acceptance. <br />2. Scope of Work. <br />City retains Consultant to perform, and Consultant agrees to render, those services (the <br />“Services”) that are defined in attached Exhibit “A”, which is incorporated herein by <br />reference. City will have the right to modify the scope of work to delete tasks in whole or <br />in part. Any individuals listed as “Key Personnel” on Exhibit “A” will perform the roles <br />ascribed to them in Exhibit “A”.
