Standard of Performance. <br />While performing the Services, Consultant will exercise the reasonable professional care <br />and skill customarily exercised by reputable members of Consultant’s profession <br />practicing in the urban Northern California Area. Consultant will also use reasonable <br />diligence and best judgment while exercising its professional skill and expertise. <br />4. Term. <br />A.Initial Term. Unless terminated earlier pursuant to Section 24, the term of <br />this Agreement will begin on the Effective Date and will end two (2) years from the <br />date of Substantial Completion (“Initial Term”). <br />B.Option to Extend. City shall have the option to extend the term of the <br />Agreement for additional one (1) year increments, for a total of five (5) additional <br />years (each a “Renewal Term”), by providing notice to Consultant at least ninety <br />(90) days prior to the expiration of the then-current term. The total duration of the <br />Initial Term and Renewal Terms shall not exceed the Initial Term as defined in <br />Subsection 4.A. above plus five (5) years, with the total cost for all Renewal Terms <br />being an amount not to exceed Three Hundred Eight Thousand Four Hundred <br />Seventy-Five Dollars ($308,475.00) as detailed in Attachment 2 – Fee Schedule. <br />Any extension will require a written amendment executed by both parties indicating <br />the effective date and length of the extended Agreement. <br />5. Schedule. <br />Consultant will adhere to the schedule set forth in Exhibit “A”, provided, that City, in its <br />discretion, may grant reasonable extensions when performance of the Services is <br />delayed due to unusually lengthy governmental reviews or other unexpected, unavoidable <br />circumstances. Such circumstances will not include strikes, lockouts, work stoppages, or <br />other labor disturbances conducted by, or on behalf of, Consultant’s officers or <br />employees. <br />6.
