MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF REDWOOD CITYAND COUNTY OF SAN MATEO'S INFORMATION SERVICES DEPARTMENT PURPOSE The purpose of this Memorandum of Understanding (MOU) is to document the agreement between the City of Redwood City (Redwood City) and the County of San Mateo's Information Services Department (ISD) for installation, licensing, and ongoing maintenance and support of SMC Public Wi-Fi network equipment at the Jardin de Ninos Park in Redwood City, California. (Redwood City and ISD are sometimes referred to individually as a "Party" and collectively as "Parties".) TERM This MOU is effective once both parties have executed this MOU through December 31, 2024, and will thereafter automatically renew for additional 1 -year terms through December 31, 2028, unless and until either Party provides a notice of termination as set forth in Provision 2 of the General Provisions of this MOU. PAYMENTTERMS • The one-time cost for the installation of SMC Public Wi-Fi Network equipment, including one year of support is $8,284.28 and is due upon the execution of this MOU. • The current ongoing annual maintenance and support costs are $498.30. This amount will be updated annually, and billed to Redwood City. • The cost of removing SMC Public Wi-Fi network equipment at the end of the term of this MOU will be billed to Redwood City. • If this MOU is terminated earlier than the term, the cost of removing SMC Public Wi-Fi network equipment will be paid by the party requesting termination. • In the event of termination or early termination, Redwood City may elect to have ownership of all the equipment acquired and installed under this MOU transferred to Redwood City and continue to maintain and operate the equipment.
