and obligations set forth in this Agreement and the Land Donation Agreement. Concurrent with <br />the land transfer of the Affordable Site, the Developer shall enter into a Partial Assignment and <br />Assumption of Development Agreement with the Affordable Housing Partner, the form of which <br />is attached as Exhibit G, incorporated herein by this reference ("Partial Assignment and <br />Assumption Agreement"). In the Partial Assignment and Assumption Agreement, the Developer <br />shall assign and delegate to the Affordable Housing Partner, and the Affordable Housing Partner <br />shall assume from the Developer, the rights, title, duties, and interest of the Developer in this <br />Agreement with respect to the development of the Affordable Site and construction of the <br />Affordable Housing Project, including but not limited to any obligations, duties or conditions <br />imposed by the Affordable Housing Plan and Relocation Plan. <br />G. On October 11, 2010, the City Council of Redwood City ("City Council") adopted <br />its General Plan, which serves as the blueprint for the growth and development of Redwood City <br />through 2030. At the same time, the City Council also approved and adopted an Environmental <br />Impact Report ("General Plan EIR"), which assessed and evaluated the potential environmental <br />effects of the adoption and long-term implementation of the General Plan under the California <br />Environmental Quality Act, as set forth in Public Resources Code Section 2100 etseq. ("CE QA"). <br />In addition, on February 13, 2023, and prior to adopting an update to its Housing Element of the <br />General Plan for the period of 2023 — 2031, and amendments to the Built Environment, Public <br />Safety, Building Community, and Natural Resources Element ("Housing Element Update"), the <br />City Council adopted Resolution No. 16124, certifying the Final Environmental Impact Report for <br />the Housing, Built Environment, Public Safety, Building Community, Natural Resources & <br />Environmental Justice Elements Update to the General Plan ("Housing Element Update EER") <br />and associated Mitigation Monitoring Program ("Housing Element Update MMR -P"). <br />H. On January 24, 201 1, the City Council adopted its DTPP to establish new land use <br />and development regulations in order to produce a unique and robust downtown, within the context <br />of a rich, historic, and valued built environment. Concurrently with the adoption of the DTPP, on <br />January 24, 2011, the City Council also certified a Final Environmental Impact Report for the <br />DTPP ("DTPP Final EIR"). The DTPP area consists of approximately one hundred eighty-three <br />acres within City's historic center and is generally bounded on the north by Veteran's Boulevard, <br />on the east by Maple Street, to the southwest by properties located on El Camino Real, and to the <br />northwest by Brewster Avenue. The DTPP streamlined the analysis and public review of projects <br />within the DTPP area by establishing development stgpdards and limits or caps of maximum <br />allowable development ("MAD Caps") for dwelling units per acre and floor area ratios for office, <br />retail, and hotel development. Residential capacity limits in the DTPP area were eliminated by the <br />City Council on November 28, 2022 with the approval of Resolution No. 16104. As noted in <br />Recital B above, the Property for the Project is located within the DTPP area. <br />L The MAD Caps of maximum allowable development for office space established <br />under the DTPP have been reached. Accordingly, new projects seeking to exceed the DTPP MAD <br />Caps would require amendments to the City's General Plan and DTPP. <br />J. Commencing in 2020, and in response to a large number of projects requesting <br />amendments to the City's General Plan and DTPP, the City Council implemented a process to <br />evaluate the pending amendment requests, collectively referred to as the "Gatekeeper" process, <br />which enabled the City Council to conceptually consider one or more General Plan Amendment <br />AFFY/AGR/2025.085 —901 EL CAM [NO REAL DA <br />REV: 08-01-25 VR <br />Page 3 of 48 <br />
