NVF:TLC:C LS 9/8/2025 SECTION 10 . PRIOR AGREEMENTS AND AMENDMENTS. This AGREEMENT represents the entire understanding of the parties as to those matters contained herein . No prior oral or written understanding shall be of any force or effect with respect to those matters covered hereunder. This AGREEMENT may only be modified by a written amendment duly executed by the parties to this AGREEMENT . SECTION 11 . MISCELLANEOUS. A. The parties agree that t he law governing this AGREEMENT shall be that of the State of California. B. In the event that suit shall be brought by either party to this contract , the parties agree that the venue shall be exclusively vested in the state courts of the County of Santa Clara , or if federal jurisdiction is appropriate, exclusively in the United States District Court , Northern District of California , San Jose, California . C. The signatories to this AGREEMENT are authorized to execute this AGREEMENT on the parties' behalf. D. This AGREEMENT may be executed in any number of counterparts and by each Party in separate counterparts, each of which when so executed and delivered shall be deemed to be an original and all of which taken together shall constitute one and the same in strument. E. Unless otherwise prohibited by law or CITY policy , the Pa rties agree that an electronic copy of a signed contract , or an electronically signed contract, has the same force and legal effect as a contract executed with an original ink signature . The term "electronic copy of a signed contract" refers to a writing as set forth in Evidence Code Section 1550. The term "electronically signed cont ract" means a contract that is executed by applying an electronic signature using technology approved by the CITY .
