REV: 04-07-24 LF EXHIBIT D TERMS OF SERVICE ADDENDUM The following supplemental terms apply to the City's use of the SaaS Solution. In the event of any conflict between these terms and the Agreement, the terms of the Agreement shall prevail. 1. Account Administration The City shall designate one or more system administrators responsible for managing user accounts, access levels, and portal configurations. The City is responsible for maintaining the confidentiality of user credentials and for promptly disabling accounts of personnel who no longer require access. Provider will support an unlimited number of user accounts for City staff, landlords, and tenants at no additional charge. 2. Acceptable Use The SaaS Solution shall be used solely for administering the City's Tenant Protection Ordinance and related housing program functions. The City shall not attempt to reverse engineer, decompile, or disassemble any component of the platform. The City shall not sublicense, resell, or provide access to the platform to third parties outside the scope of TPO administration. 3. Data Ownership & Portability All data entered into or generated by the SaaS Solution by or on behalf of the City (“City Data”) is and shall remain the sole property of the City. Provider shall not access, use, or disclose City Data except as necessary to provide the SaaS Solution or as required by law. Upon termination or expiration of the Agreement, Provider shall make City Data available for export in standard machine-readable formats (CSV, JSON, or XML) for a period of ninety (90) days at no additional charge. Following the 90-day data retrieval period, Provider shall securely delete all City Data from its systems and provide written certification of deletion. 4. API Access Provider shall make available a documented REST API to support integrations with City systems. API access is included in the base subscription. API usage is subject to reasonable rate limits to protect platform performance. Provider shall give the City at least 15 days' notice of any breaking changes to the API. 5. Modifications & Updates Provider may update the SaaS Solution from time to time to improve functionality, address security concerns, or maintain compliance with applicable law. Provider shall give the City at least 7 days' advance notice of updates that materially affect the operation, look-and-feel, or functionality of the platform, and shall coordinate timing with the City as needed.Updates shall not reduce the functionality of the SaaS Solution below the Functional Specifications.
