REV: 05-28-26 MI <br />INTERNSHIP AGREEMENT <br />1. Parties. This Internship Agreement (“Agreement”), entered into on this _____________, 2026 (“Effective <br />Date”), is between Year Up, Inc., a Massachusetts nonprofit corporation d/b/a Year Up United with its principal offices <br />at 45 Milk Street, Boston, MA 02109 (“Year Up United”) and City of Redwood City , a charter city and municipal <br />corporation of the State of California with its principal offices at 1017 Middlefield Road, Redwood City, CA 94063 <br />(“Internship Partner”), together the “Parties” and each a “Party.” <br />2. Internship Program. As part of the training experience offered to student participants in the Year Up United <br />program, Year Up United will place student interns (“Intern(s)”) with the Internship Partner for the purpose of <br />providing on-the-job training to the students as part of their educational experience. The specific details regarding the <br />day-to-day logistics surrounding the Year Up United Internship program can be found in Exhibit A: Year Up United <br />Internship Logistics. <br />The purpose and intent of the Year Up United Internship Program is to provide on-the-job training to students who are <br />concurrently enrolled in the Year Up United program, a non-profit experiential training program. Each Intern is either <br />enrolled in a formal program at an accredited college during the Internship experience or is eligible to receive college <br />credit recommendations upon successful Year Up United course completion. Year Up United and the Internship <br />Partner agree and understand that: the training offered the Interns is similar to that which would be given in an <br />educational environment, including hands-on training; the training is fundamentally for the benefit of the Interns; the <br />Interns will not displace regular employees, and will work under the close observation of regular employees; the Interns <br />are not necessarily entitled to a job with the Internship Partner at the conclusion of the training period; the Interns and <br />the Internship Partner understand that the Interns are not entitled to wages for the time spent in training. Moreover, <br />as part of the Interns’ training program, they attend a weekly educational seminar about their training at the Year Up <br />United site. No Intern shall be expected or required to participate in training in excess of 36 total hours in any work <br />week. <br />3. Relationship. The Intern is a full-time student in the Year Up United program. Because each Intern is participating <br />in an educational training program, s/he is not considered an employee of Year Up United or the Internship Partner. <br />Each Intern receives a weekly educational stipend, paid directly by Year Up United (“Stipend”). The Intern shall not be <br />expected to, or entitled to, participate in direct compensation, health or disability insurance, retirement benefits, or <br />other company welfare or pension benefits (if any) to which employees of the Internship Partner may be entitled. <br />4. Term/Termination. The Term of this Agreement shall begin on the Effective Date and will terminate upon the <br />earlier of (i) the completion of the Internship Program as detailed in any attached exhibit(s) or program renewal <br />document or (ii) termination of this Agreement. Year Up United or the Internship Partner may terminate this <br />agreement net 30 days after written notice. <br />5. Fees/Payment Terms. The Internship Partner shall pay a per-Intern fee to Year Up United, pursuant to the terms <br />set forth in Exhibit B: Payment Terms. <br />6. Contact. Work Product & Intellectual Property. Year Up United waives and agrees never to assert any claim to the work <br />product created by the Intern as part of the on-site work training under this agreement. Year Up United waives and <br />agrees never to assert any right, title or interest in any intellectual property or proprietary rights including patent and <br />copyright rights during and after the term of this Agreement. <br />8. Required Insurance. Year Up United shall maintain in effect at all times during the term of this agreement: <br />Commercial General Liability insurance of not less than $1,000,000 per occurrence or $2,000,000 aggregate, and <br />Professional Liability insurance covering errors, omissions and negligent acts arising under this agreement of not less <br />than $1,000,000 per claim. The Commercial General Liability insurance policy shall be endorsed to name the <br />Internship Partner, its officers, agents, employees and volunteers as additional insureds, and to state that the insurance <br />will be primary and not contribute with any insurance or self-insurance maintained by the Internship Partner.Year Up <br />United maintains statutory Workers’ Compensation insurance at all locations where Year Up United conducts <br />operations, and further, Year Up United maintains Employer’s Liability insurance in an amount not less than <br />ATTY/AGR.2026.132/Year Up United (Internship Agreement FY 26-27) (Page 2 of 5) <br />June 25
