REV:06-01-26 LF <br />AMENDMENT NO. 1 TO LICENSE AND ACCESS AGREEMENT <br /> Hunter Partners Sequoia, LLC <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of _________________, 2026, by and between the City of Redwood City, a charter city <br />and municipal corporation of the State of California (“City”), and Hunter Partners Sequoia, <br />LLC, a Delaware limited liability company (“Owner”) (collectively, the “Parties”). <br />RECITALS <br />A. REG8 Sequoia Station, LLC, a Delaware limited liability company <br />(“Regency”), and City previously executed that certain License and Access Agreement, <br />dated as of July 7, 2021, (the “Agreement”). Capitalized terms used in this Amendment <br />No.1 shall have the meaning ascribed to such terms in the Agreement unless otherwise <br />defined in this Amendment No.1. <br />B. Subsection 10(a) of the Agreement provides as follows: “Regency may <br />assign or transfer its rights and obligations under this Agreement to any party without <br />permission of the City; however, the assigning party agrees to provide the City with notice <br />of said assignment or transfer.” <br />C. On December 15, 2021, Regency assigned all of its rights and obligations <br />under the Agreement to RWC Sequoia Station 2, LLC, a Delaware limited liability <br />company, and provided notice to the City. <br />D. On December 12, 2023, RWC Sequoia Station 2, LLC assigned all of its <br />rights and obligations under the Agreement to Owner and provided notice to the City. <br />E. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />“A,” incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. All references to “Regency” in the Agreement shall be deemed to refer to, and be <br />replaced by, “Owner”. Owner is hereby recognized as an original party to the Agreement <br />in every respect. <br />2. City will continue to perform all actions necessary to obtain case closure related to <br />the Environmental Condition, including, but not limited to, the additional work set forth in <br />Exhibit “A” of this Amendment No. 1, and such work will be considered part of the Work <br />for purposes of the Agreement. <br />3.
