<br />ATTACHMEIT <br /> <br />6.18 <br />Page 2 <br /> <br />CONSENT TO ASSIGNMENT AGREEMENT <br />BY AND BETWEEN THE <br />CITY OF REDWOOD CITY, CALIFORNIA, <br />AND <br />WAGSTAFF AND ASSOCIATES, A DIVISION OF MIG <br />(Formerly known as Wagstaff and Associates) <br /> <br />PREAMBLE <br /> <br />This consent to assignment agreement ("Consent Agreement") is made and entered into on this _ <br />day of , 2010 ("Effective Date"), by and between the City of Redwood City, California, a <br />chartered California municipal corporation, with its principal place of business located at 1017 Middlefie1d <br />Road, Redwood City, California 94063 ("City"), Wagstaff and Associates, a sole proprietorship, with its <br />principal place of business located at 2512 Ninth Street, Suite 5, Berkeley, CA 94710 ("Wagstaff' or <br />"Assignor") and Wagstaff and Associates, a Division ofMIG, a California Corporation, with its principal <br />place of business located at 800 Hearst Avenue, Berkeley, CA 94710 ("Wagstaff-MIG" or "Assignee"), the <br />intended successor in interest to Wagstaff. City, Wagstaffand Wagstaff-MIG maybe individually referred to <br />in this Consent Agreement as a "Party" or collectively as the "Parties" or the "Parties to this Consent <br />Agreement. " <br /> <br />RECITALS <br /> <br />A. City and Assignor entered into an agreement entitled, "Agreement for Environmental Consulting <br />Services (Wagstaff and Associates)," dated September 19,2008 (the "Original Agreement for Stanford <br />in Redwood City") in which Assignor agreed to provide environmental consulting services related to <br />the CEQA Analysis of the Stanford in Redwood City project; <br /> <br />B. City and Assignor entered into an agreement entitled, "Agreement for Environmental Services <br />(Wagstaff and Associates)," dated September 8,2009 (the "Original Agreement for the Downtown <br />Precise Plan") in which Assignor agreed to provide environmental consulting services related to the <br />CEQA Analysis for the Downtown Precise Plan project; <br /> <br />C. Section 24 of each of the Original Agreements referenced above entitled "Successors and Assigns" <br />provides as follows: <br /> <br />"It is mutually understood and agreed that this Agreement will be binding upon the Parties and their <br />respective successors. Neither this Agreement nor any part of it nor any monies due or to become due <br />under it may be assigned by Consultant without the prior written consent of City, which will not be <br />unreasonably withheld." <br /> <br />D.
