Extensions will be based upon a satisfactory review of Consultant's <br /> performance, City needs, and appropriation of funds by the Rede�elopment City Board. <br /> The parties wil� prepare a wrifiten amendment indicating the effec�ive date and length of <br /> the extended Agreement. <br /> [REMOVE THE PARAGRAPH 3 THAT IS NOT CHOSEN.] <br /> 4. Schedu(e. Consultant will adhere to the schedu[e set #o�th in Exhibit "A", <br /> provided, that City in its discretion may grant reasonable extensions of time for the <br /> performance of such services occasioned by unusualiy lengthy governmental reviews of <br /> Consultan#'s war[c product or other unavoidable delays occasioned by circumstances; <br /> provided, further, that such unavoidable delay will not include strikes, lockouts, work <br /> stoppages, or other labor disturbances conducted by, or on behalf of, Consultant's <br /> officers or emp�oyees. <br /> Consultant acknowledges the importance to City of City's project schedute and agrees <br /> to use its bes# professianal efforts to meet the schedule. City understands that <br /> Consultant's performance must be governed by sound practices. <br /> 5. Time is of the Essence. Time is of the essence far each and every provision af <br /> this Agreement. <br /> C. Compensation. The#otal fee payable for the Services to be performed during the <br /> initial term of this Agreement will be $ . No other compensa#ion for the <br /> Services will be atlowed except for items cavered by subsequent amendments to this <br /> Agreement. City has the authority to withhold a10% percent retentian until City has <br /> accepted all af the senrices specified in Exhibit'"A." <br /> Tf�ere shall be no additional charge for expenses uniess agreed to by City. Payment will <br /> accur only after receipt by City of invoices sufficiently detailed to include hourly rates, <br /> hours worked, and tasks perFormed, unless otherwise agreed to by Ci#y. Incremental <br /> payments, if applicable,will be made as outlined in attached Exhibit"A." <br /> The payment made to Cansultant pursuant to the Agreement will be #he full and <br /> complete compensation to which Consuitant is entitled. City will not make any federal <br /> or state tax withholdings on behalf of Consultant ar its agents, employees or <br /> subcontractors. City will not be required to pay any workers'compensatian insurance or <br /> unemplpyment contributions on behaif of Consultant or its employees or subcontractors. <br /> Consultant agrees to reimburse City within thirty (30} days for ar�y tax, retirement <br /> contribution, social security, overtime payment, unemployment payment or workers' <br /> campensation payment which City makes on behalf of Consultant or any agent, <br /> employee, or subcontractor of Cansultant for wvE-k done under this Agreement.
