6. Indemnification <br /> <br />SUHSD agrees to indemnify, defend and hold harmless the City of Redwood City, its <br />officers, agents and employees from any and all claims, losses, damages and liability <br />suffered or incurred by reason o£any acts or omissions of the SUHSD, its officers, agents <br />and employees in the performance of this Agreement. <br /> <br />Contractor agrees to indemnify, defend and hold harmless SUHSD, its officers, agents <br />and employees from any and all claims, losses, damages and liability suffered or incurred <br />by reason of any acts or omissions of the Contract, its officers, agents and employees in <br />the performance of this Agreement. <br /> <br />7. Dispute Resolution <br /> <br />Should any dispute arise out of this Agreement, the parties should meet in mediation and <br />attempt to reach a resolution with the assistance of a mutually acceptable mediator. The <br />costs of the mediator, if any, shall be paid for by the School District. If a mediated <br />settlement is reached, neither party shall be the prevailing party for the purposes of this <br />settlement. Neither party shall be permitted to file legal action without first meeting in <br />mediation and maintaining a good faith attempt to reach a mediated resolution. Each <br />party will bear it's own attorney fees. <br /> <br />8. Compensation <br /> <br />The Contractor agrees to perform all of the services of this Agreement for a stun not to <br />exceed $36,657.31 The Contractor will match this same amount to pay to the officer. <br /> <br />9. Payment <br /> <br />Contractor shall submit an invoice detailing the services performed during the billing <br />period. SUHSD shall make a one-time payment of $36,657.31. In no event shall <br />SUHSD's total fiscal obligation under this contract exceed $36,657.31. <br /> <br />10. Term of Agreement <br /> <br />The term of this agreement is from September 3, 2002 through June 13, 2003. This is a <br />total of nine months. <br /> <br /> <br />
