4. An Acquisition Agreement (the "Acquisition Agreement"), dated as of June 15, 1986, by and between the Authority and the City, by which the Authority will acquire the Leased Premises from the City. 5. A Capital Account Agreement (the "Capital Account Agreement"), dated as of June 15, 1986, by and between the Authority and the City, by which the City has agreed to cause the proceeds from the sale of the Leased Premises to be used for the acquisition and construction of the Projects within three years from the date hereof. 6. An Official Statement (the "Official Statement"), to be used to provide information to prospective purchasers of the Bonds. WHEREAS, in order to go forward with the acquisition of the Leased Premises, the acquisition and construction of the Projects and other improvements and the issuance and sale of the Bonds for the foregoing purposes, it is necessary to authorize and direct the acquisition of the Leased Premises and the execution of the foregoing documents, to approve the form of the Official Statement and to authorize and direct the Authority's officers and the City's staff to undertake all steps necessary to conclude the issuance of the Bonds. NOW, THEREFORE, the City Council of the City of Redwood City, acting as the governing body of the Redwood City Public Facilities and Infrastructure Authority, DOES HEREBY RESOLVE and ORDER as follows: SECTION 1. The foregoing recitals are true and correct and the Authority so finds and determines. SECTION 2. Resolution No. PF-01, entitled "A Resolution of the Redwood City Public Facilities and Infrastructure Authority Authorizing the Purchase of Certain Real Property, Execution of the Lease Agreement, Indenture of Trust and Bond Purchase Contract, and Approving Form of Preliminary Official Statement and Authorizing Its Distribution," adopted by the Authority on May 19, 1986, is hereby rescinded. SECTION 3. The acquisition of the Leased Premises at a purchase price of $13,912,000, is hereby approved and the Chairperson or Vice Chairperson and the Secretary or Assistant Secretary of the Authority are hereby authorized to execute and attest all documentation in connection therewith including, but not limited to, the Acquisition Agreement and the certificate of acceptance to be attached to the Grant Deed of the City and the requisition to the Trustee approving the payment to the City of the purchase price for the Leased Premises. SECTION 4. The Lease, Indenture, Purchase Contract, the Acquisition Agreement and the Capital Account Agreement (collectively, the "Financing Documents") are hereby approved, and the Chairperson or Vice Chairperson and the Secretary or Assistant Secretary of the Authority are hereby authorized and directed to execute and attest the same on behalf of the Authority, in substantially the form now before the Authority, but with such changes, modifications, additions or deletions therein as shall seem necessary, desirable or appropriate to the City Attorney or Bond Counsel, their execution thereof to constitute conclusive evidence of their approval of any and all changes, modifications, additions or deletions therein from the form and content of the
