Financing Documents now before this Authority, and that from and after the <br />execution, attestation and delivery of the same, the Chairperson or Vice <br />Chairperson, and Secretary or Assistant Secretary are hereby authorized, <br />empowered and directed to do all such acts and things and to execute all such <br />documents as may be necessary to carry out and comply with the provisions of the <br />Financing Documents as executed. <br /> <br /> SECTION 5. The Chairperson, Vice Chairperson, Secretary, Assistant <br />Secretary, their designees and other appropriate officers of the City, <br />including, but not limited to, the City Manager, are hereby authorized and <br />directed to execute, attest and deliver for and on behalf of the Authority any <br />and all additional certificates, documents, opinions or other papers and to <br />perform all other acts as they may deem necessary or appropriate in order to <br />implement and carry out the intent and purposes of this resolution. <br /> <br /> SECTION 6. The offer of the Underwriter for not-to-exceed $16,500,000 par <br />value of the Bonds is hereby accepted, so long as the net interest cost on the <br />Bonds does not exceed nine percent (9%), and so long as the discount with <br />respect thereto does not exceed two and five-eights percent (2-5/8%), and, upon <br />their issuance, the Trustee is hereby authorized and directed to deliver the <br />Bonds to the Underwriter upon payment to the Trustee, on behalf of the <br />Authority, of the purchase price set forth in the Purchase Contract. The Bonds <br />shall be in the form and have the terms and conditions specified in the Purchase <br />Contract and in the Indenture hereinabove approved and authorized to be <br />executed, and the Chairperson or Vice Chairperson and Secretary or Assistant <br />Secretary of the Authority are hereby authorized to sign the Bonds by their <br />manual or facsimile signature and deliver them to the Trustee or Registrar for <br />authentication and delivery. <br /> <br /> SECTION 7. The Official Statement, in substantially the form presented to <br />this Authority, is hereby approved and the Chairperson or Vice Chairperson and <br />the Secretary or Assistant Secretary of the Authority are hereby authorized and <br />directed to execute and attest the same on behalf of the Authority, in <br />substantially the form now before the Authority, but with such changes, <br />modifications, additions or deletions therein as shall seem necessary, desirable <br />or appropriate to the City Attorney or Bond Counsel, their execution thereof to <br />constitute conclusive evidence of their approval of any and all changes, <br />modifications, additions or deletions therein from the form and content of the <br />Official Statement now before this Authority, and the Underwriter is further <br />authorized to distribute the official statement in preliminary form to potential <br />purchasers of the Bonds and is directed to deliver copies of the Official <br />Statement in final form to all actual purchasers of the Bonds. <br /> <br /> 3 <br /> <br /> <br />
