Landlord shall not exercise such termination right until it determines in its sole discretion that it <br /> will require possession within thirty (30) days after the delivery of such termination notice. <br /> 2.6 Entry by Landlord. At any time during the Term, Landlord and its agents, <br /> employees, contractors, consultants, and other designees (collectively, "Landlord's Authorized <br /> Parties ") may, upon two (2) business days' prior written notice, enter upon the Property to <br /> conduct any activity and perform any investigation, test, study or analysis for the purpose of <br /> planning, designing, surveying, or otherwise developing the Property, includin but not Limited <br /> P g g� <br /> to, soils studies, engineering studies, tree surveys, archeological studies, biological studies, <br /> utilities studies, hydrology studies, preparation of plans, and any other matters relating to <br /> Landlord's contemplated use of the Property. Landlord shall pay all costs with respect to such <br /> studies and tests. Landlord's Authorized Parties may bring such equipment on the Premises as is <br /> necessary or appropriate to make such studies or otherwise undertake such activates. Landlord <br /> shall use commercially reasonable efforts to minimize disturbance of Tenant's business then - <br /> being conducted at the Premises. <br /> 3. Rent. <br /> 3.1 Base Rent. Tenant shall pay to Landlord, for each calendar month of <br /> the Term of this Lease, monthly base rent of Two Thousand Five Hundred Dollars ($2,500) per <br /> month (hereafter called "Base Rent "). The Base Rent shall not be increased during the Term <br /> (including any extension of the Term as provided in Section 2.5) unless Tenant holds over after <br /> the expiration of the Term as provided in Section 27) <br /> 3.2 Rent Defined; Manner of Payment. The term, "rent" as used in this <br /> Lease shall include the Base Rent and all other sums required to be paid by Tenant to Landlord <br /> pursuant to the terms of this Lease. Tenant shall pay to the order of Landlord (at the address <br /> identified in the opening paragraph of this Lease) all rent payable under this Lease without <br /> deduction, offset, or abatement, and without prior notice or demand, in advance on the first day <br /> of each calendar month of the Term of this Lease. Rent shall be payable in lawful money of the <br /> United States to Landlord at the address stated in the initial paragraph above or to such other <br /> persons or at such other places as Landlord may from time to time designate in writing. Tenant's <br /> obligation to pay rent for any partial month shall be prorated on the basis of a thirty (30) day <br /> month. Base Rent for the first full calendar month of the Lease term shall be paid to Landlord <br /> upon the execution hereof. <br /> 3.3 Late Payment Charge. If any installment of rent or any other sum due <br /> from Tenant is not received by Landlord within three (3) days after the date due, Tenant shall pay <br /> to Landlord an additional sum equal to ten percent (10 %) of the amount overdue as a late charge <br /> to compensate for processing and accounting charges and any charges that may be incurred by <br /> Landlord. Acceptance of any late charge shall not constitute a waiver of Tenant's default with <br /> respect to the overdue amount. <br /> 4.
