10/11/2010 <br /> Exhibit B <br /> documented bids or prices from licensed contractors. <br /> Grantee shall be fully responsible for all matters relating to the payment of <br /> contractors, and shall require their contractors to comply with all Federal and State laws <br /> regarding the payment of wages to employees including compliance with Social Security, <br /> withholding tax and all other laws and regulations governing such matters. <br /> Grantee shall also require their contractor to meet all requirements specified in the <br /> Contractors Requirements, attached to this Agreement as Attachment B and incorporated <br /> herein by reference, and to maintain in effect at all times while performing the Work the <br /> appropriate Workers' Compensation Insurance, as required by law, for the contractor's <br /> employees, and Comprehensive General or Commercial Liability Insurance, with those <br /> limits specified in Attachment B. <br /> Grantee shall be solely responsible for all contracts with vendors, contractors, and <br /> subcontractors, including ensuring the quality of work under any such contract. The <br /> Agency shall not be a party to any of these contracts, and is not responsible for the actions <br /> of any contractors, subcontractors, or vendors. The Agency neither undertakes nor <br /> assumes any responsibility or duty to the Grantee (except as provided for herein) or any <br /> third party with respect to the Work or the Property. Except as Agency may specify in <br /> writing, Grantee shall have no authority to act as an agent of the Agency or to bind the <br /> Agency to any obligation. Grantee shall be solely responsible for the quality and suitability <br /> of the plans and specifications for the Work. Any review or inspection undertaken by the <br /> Agency is solely for the purpose of determining whether disbursement of Agency funds is <br /> appropriate, and should not be relied upon by Grantee or by any third parties as a warranty <br /> or representation by the Agency as to the quality of the design or construction of the Work. <br /> Grantee shall be solely responsible for securing all appropriate building, electrical, <br /> encroachment and other permits required by law for the Work and complying with all codes <br /> and regulations applicable to the Work. The permit fees for such permits are eligible <br /> expenses for reimbursement under this Agreement. <br /> Grantee agrees to cooperate with any promotional activity of the Agency, including <br /> the displaying of any marketing signage, endorsing and promoting the Storefront <br /> Improvement Program and its sponsors. <br /> Grantee shall have sixty (60) days from the date of this Agreement to execute its <br /> contract with the contractor and to authorize the contractor to begin the Work pursuant to <br /> this Agreement, unless an extension of time has been agreed to by Agency. If Grantee <br /> has not authorized the beginning of work within such sixty (60) days, the Agency shall have <br /> the right to terminate this Agreement and to utilize the reserved matching grant funds for <br /> other applicants. Grantee shall complete the Work no later than months from the date <br /> of this Agreement. If Grantee fails to complete the Work by this date, the Agency may <br /> terminate this Agreement and shall have no further obligation to disburse any grant funds <br /> to Grantee. <br /> Grantee understands and acknowledges that state prevailing wage requirements <br /> may in some cases apply to workers employed on the Work, and acknowledges that <br /> 3 <br /> ATTY /AGR/2010.112 #RD 10 -08 <br /> 10/13/10 MUFF #405 <br />
