0.c -5 Aureements 1. Acquisition of Project Site This Agreement is expressly conditioned upon the acquisition by the City, including, if applicable, order(s) of prejudgment possession, of the remainder of the Project Site; provided, however, that in the event City is unable to acquire the Project Site, this Agreement shall terminate and City and Agency shall reimburse Developer for pre - construction design costs incurred by Developer as of the date of termination. 2. Scope of Work Developer shall be responsible for providing all personnel, equipment, materials and services, either itself or through consultants acceptable to City, required to design, obtain permits and provide construction administration for the Public Parking Facility described in the DDA (the "Services "), as more fully described in Exhibit A and shown on Exhibit B attached hereto and incorporated herein by reference. In addition, Developer shall be responsible for coordinating with Pacific Gas and Electric ( "PG &E "), SBC /Pack Bell ( "PacBell ") and any other utilities with facilities affected by the Project for the relocation of their private utility lines as required for the Project, which relocation work shall be performed by the respective utility, at its cost. Developer shall have all construction documents for the Project processed through approval by the City, Agency, and all other agencies with jurisdiction prior to construction. All design documents and construction contracts must be submitted to the City by (August 1, 2003) for review and approval, and shall be in accordance with the City's revised specifications entitled "Engineering Standards of the City of Redwood City," adopted January 5, 1998 which standards are on file in the office of the Manager, Engineering and Construction Department, latest edition of the Uniform Building Code, and all other statutes, laws, regulations or ordinances of authorities with jurisdiction over the Project. Said Work shall also be constructed in strict compliance with the provisions of Article VII, Chapter 29 of the Code of the City of Redwood City. If any conflict exists between the plans and specifications and said Chapter 29 in regard to the standard for a particular improvement, the stricter standard shall govern.
