0.0.7 <br />Developer shall include in its contracts with all Consultants, including but not <br />limited to design professionals and those consultants listed in Exhibit C, the obligations <br />set forth in this Agreement, as follows: <br />1) The obligation to comply with Applicable Laws and perform in accordance <br />with the standards described in this Section 2; <br />2) Ownership of the Documents, in accordance with Section 8; <br />3) The obligation to perform in accordance with the Project Schedule, as <br />provided in Section 9; <br />4) The obligation to defend, indemnify and hold harmless the City and the <br />Agency, as described in Section 12; <br />5) The obligation to obtain insurance and provide evidence of insurance as, <br />described in Section 13; <br />6) Such other and further obligations as may be necessary to effect the <br />purposes of this Agreement. <br />Developer shall provide City and Agency with copies of any or all of its agreements with <br />Consultants in connection the Project upon written request. <br />3. Reimbursement to Developer. City and Agency shall reimburse Developer <br />for services performed by Developer, directly or through Developer's consultants, in the <br />amount of Developer's actual costs, provided however, that the total of the reimbursement <br />and fee (described in Exhibit C) shall not exceed the amount of Six Hundred and Fifty <br />Thousand Dollars ($650,000) without the prior written authorization of the City's Project <br />Manager, the City Council and the Agency's Board of Directors. A summary of the <br />Developer's costs is shown in Exhibit C. A copy of Developer's hourly rates for which <br />services hereunder shall be performed are set forth in Developers fee schedule Attached <br />hereto as Exhibit <br />The combined total of compensation and reimbursement of costs payable <br />hereunder shall not exceed the sum of Six Hundred Fifty Thousand Dollars ($650,000.00). <br />Task orders or amendments to this Agreement that, individually or collectively, increase <br />the costs payable hereunder by more than Sixty Thousand Dollars ($60,000.00), are not <br />valid unless such task orders or amendments are approved by City's Project Manager, the <br />City Council and the Agency's Board of Directors. <br />F:Atty /Agr /Agr.119 <br />050803 4 <br />
