approval and/or request by the State of California, or any other agency of state <br />or federal government. <br /> <br /> 23. Termination. City shall have the right to terminate this Agreement <br />without cause upon a thirty (30) day written notice or for cause upon written <br />notice to Consultant. Provided, however, that any termination of this Agreement <br />by City for a material failure to perform will be effective only if Consultant does <br />not initiate corrective action within three (3) working days and complete the <br />corrective action within ten (10) working days (or more if authorized in writing by <br />the City) after receipt of the notice from the City specifying the failure. In the <br />event of termination for any reason the parties shall enter into good faith <br />negotiations to arrive at a fair and reasonable quantification of the liabilities set <br />forth in this Agreement, which liabilities shall be limited to Services rendered up <br />to the date of termination. Failure to agree on such a quantification of liability <br />shall be deemed a dispute under the terms of this Agreement. <br /> <br /> 24. Disputes. All claims, disputes, and other matters in question <br />between the parties arising out of or relating to this Agreement or the breach <br />thereof, shall be addressed in the following manner. The parties shall enter into <br />good faith negotiations to reach an equitable settlement. If a good faith <br />settlement cannot be reached, the parties may agree to select a method of <br />dispute resolution other than litigation, such as arbitration, mediation, mini trial, <br />or other cost effective methods of alternative dispute resolution.
