However, City shall have unlimited rights and use of all data or software <br />developed under this Agreement to Consultant. <br /> <br /> 21. Chan,qes. The City may at any time, by written task order approved <br />in advance of performance thereof by (i) the Public Works Services Director for <br />task order up to the sum of $10,000; and (ii) by the City Council of the City of <br />Redwood City for any task order in excess of $10,000, or task orders in the <br />aggregate amount of $20,000, and within the general scope of this Agreement, <br />make changes to the Services called for hereunder. If any such change causes <br />an increase or decrease in the cost of, or the time required for, the performance <br />of any part of the work under this Agreement, an equitable adjustment (including <br />overhead and profit) shall be made in the Agreement price or delivery schedule, <br />or both, and the Agreement shall be modified in writing accordingly. Nothing <br />contained herein shall give Consultant the right to stop work on the project or <br />refuse to comply with the terms and conditions of the changes requested by City. <br /> <br /> 22. Delays/Force Majeure Neither party shall be deemed in default of <br />this Agreement to the extent that any delay or failure in the performance of its <br />obligations (other than payment obligations for services rendered) results from <br />any causes beyond its reasonable control and without its fault or negligence. <br />Examples of such causes include, but are not limited to (1) Acts of God or the <br />public enemy, (2) Acts of the Government in either its sovereign or contractual <br />capacity, (3) fires, (4) floods, (5) epidemics, (6) quarantine restrictions, (7) <br />strikes, (8) embargoes, (9) earthquakes, (10) unusually severe weather, and (11 ) <br /> <br /> A~m'-~ ~2 1 0 <br /> shat ed/share~/Redwood¥,our~il <br /> FXS:rg <br /> <br /> 08/24/98R <br /> <br /> <br />
