No. 9345 <br /> <br />THIRD AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT <br />RALSTON A VENUEIROUTE 101 INTERCHANGE PROJECT <br /> <br />This document, dated February 10, 2003, constitutes the Third Amendment to the Professional <br />Services Agreement, entered into on March 23, 1999, by and between the City of Belmont hereinafter <br />called "CITY" and Mark Thomas & Company, Inc., hereinafter called "CONSULTANT". (See <br />Exhibit C) <br /> <br />RECITALS <br /> <br />This Third Amendment is entered into with reference to the following facts and circumstances: <br />A. CITY desires to amend the provisions of the Professional Services Agreement so as to allow <br />for a modified scope of services. <br />B. CONSULTANT is desirous of these changes as well. <br />Based upon the foregoing Recitals the CITY and CONSULTANT agree to the following tenDs: <br />I. Section One, shall be amended to include those services set forth in Exhibit A <br />II. Section Two, shall be amended to read that the tenD of this Agreement shall tenninate <br />June 30, 2003. <br /> <br />C. <br /> <br />Section Three, shall be amended to include CONSULTANT'S revised cost proposal <br />marked Exhibit B increasing the compensation by $490,203 (four hundred ninety <br />thousand two hundred and three dollars) such that the total compensation shall not <br />exceed the sum of $2,328,613 (two million three hundred twenty eight thousand six <br />hundred and thirteen dollars). <br /> <br />All other tenDS and conditions of the Agreement, Exhibit C, shall remain in force and effect. <br /> <br />IN WITNESS WHEREOF, the parties hereto have caused this Third Amendment to be <br />executed on the date above written by their respective officers duly authorized in that behalf. <br /> <br />III. <br /> <br /> <br />DATED: -.t¿" ,'Ã-C>,'~ ~ <br />CONSULTANT <br /> <br />~~ <br /> <br />City <br /> <br />Richard K.
