Resa,' Na~.._-9;¡44 AGREEMENT BETWEEN THE CITY OF BELMONT AND THE CITY OF REDWOOD CITY FOR COST ALLOCATION FOR SUPPLEMENTAL ENGINEERING SERVICES ASSOCIATED WITH THE RALSTON A VENUEIROUTE 101 INTERCHANGE AND ISLAND PARK DIRECT ACCESS PROJECT FINAL DESIGN THIS AGREEMENT, made and entered into this 10th day of February, 2003, by and between the CITY OF BELMONT, a municipal corporation of the State of California (BELMONT"), and THE CITY OF REDWOOD CITY, a municipal corporation of the State of California ("REDWOOD CITY"). WITNESSETH: WHEREAS, BELMONT requires supplemental engineering services the development of final design and the preparation of Contract Documents for the Ralston/Route 101 Interchange and Island Park Direct Access Project (the "Project"); and WHEREAS, BELMONT will enter into a Third Amendment to the consulting agreement (the "Consulting Agreement") with MARK THOMAS & CO., INc. ("Consultant") for preparation of said design and documents by way ofthe agreement attached as Exhibit A; and WHEREAS, the Project, as depicted in the map attached hereto as Exhibit D, mutually benefits the Cities of Belmont and Redwood City in certain respects; and WHEREAS, the parties desire hereby to allocate costs of the Project between the two Cities so that REDWOOD CITY pays the design costs for the improvements identified as "Interchange Improvements" and BELMONT pays the design costs identified as "Island Park Direct Access Improvements" as shown in Exhibit C. NOW, THEREFORE, the parties hereto agree as follows: 1. SCOPE OF WORK/PROJECT MANAGEMENT PLAN. The Scope of Work for the Project is attached hereto and incorporated by this reference as Exhibit B. Except as set forth below, Belmont shall not have the right to amend or modify the tenns and
