<br />Resa,' Na~.._-9;¡44 <br /> <br />AGREEMENT BETWEEN THE CITY OF BELMONT AND THE CITY OF REDWOOD <br />CITY FOR COST ALLOCATION FOR SUPPLEMENTAL ENGINEERING SERVICES <br />ASSOCIATED WITH THE RALSTON A VENUEIROUTE 101 INTERCHANGE AND <br />ISLAND PARK DIRECT ACCESS PROJECT FINAL DESIGN <br /> <br />THIS AGREEMENT, made and entered into this 10th day of February, 2003, by and <br /> <br />between the CITY OF BELMONT, a municipal corporation of the State of California <br /> <br />(BELMONT"), and THE CITY OF REDWOOD CITY, a municipal corporation of the State of <br /> <br />California ("REDWOOD CITY"). <br /> <br />WITNESSETH: <br /> <br />WHEREAS, BELMONT requires supplemental engineering services the development of <br /> <br />final design and the preparation of Contract Documents for the Ralston/Route 101 Interchange <br /> <br />and Island Park Direct Access Project (the "Project"); and <br /> <br />WHEREAS, BELMONT will enter into a Third Amendment to the consulting agreement <br /> <br />(the "Consulting Agreement") with MARK THOMAS & CO., INc. ("Consultant") for <br /> <br />preparation of said design and documents by way ofthe agreement attached as Exhibit A; and <br /> <br />WHEREAS, the Project, as depicted in the map attached hereto as Exhibit D, mutually <br /> <br />benefits the Cities of Belmont and Redwood City in certain respects; and <br /> <br />WHEREAS, the parties desire hereby to allocate costs of the Project between the two <br /> <br />Cities so that REDWOOD CITY pays the design costs for the improvements identified as <br /> <br />"Interchange Improvements" and BELMONT pays the design costs identified as "Island Park <br /> <br />Direct Access Improvements" as shown in Exhibit C. <br /> <br />NOW, THEREFORE, the parties hereto agree as follows: <br /> <br />1. <br /> <br />SCOPE OF WORK/PROJECT MANAGEMENT PLAN. The Scope of Work for <br /> <br />the Project is attached hereto and incorporated by this reference as Exhibit B.
