<br />conditions of the Consulting Agreement, including the scope of work, without the prior <br /> <br />written consent of Redwood City Manager. Provided, however, that the written approval <br /> <br />of Manager shall not be required in the event that (I) Belmont's any onc proposed <br /> <br />amendment or modification to the Consulting Agreement does not increase thc cost of <br /> <br />Consulting Agreement in the sum of $10,000.00; and (2) the amendments and <br /> <br />modifications do not increase the cost of the Consulting Agreement in the aggregate sum <br /> <br />of $20,000.00; and provided further that the proposed amendments or modifications do <br /> <br />not, in Manager's opinion, change the design and/or construction method of the Project <br /> <br />and/or may increase the cost of construction of the Project. <br /> <br />Belmont shall notify <br /> <br />Manager in writing of all requests for amendment, modification, and addendum to the <br /> <br />Consulting Agreement and shall promptly provide copies of all such requests to the <br /> <br />Redwood City Manager. <br /> <br />2. <br /> <br />REDWOOD CITY'S APPROVAL. <br /> <br />REDWOOD CITY hereby acknowledges <br /> <br />that BELMONT has included in its contract for supplemental final design services for the <br /> <br />Project, certain improvements benefiting REDWOOD CITY. REDWOOD CITY has <br /> <br />reviewed and approved that portion of the plans for the Project relating to REDWOOD <br /> <br />CITY'S interest in the Project. REDWOOD CITY hereby agrees to share in the costs of <br /> <br />the Project as hereinafter set forth. <br /> <br />3. <br /> <br />COST ALLOCATION. REDWOOD CITY hereby agrees to pay for REDWOOD <br /> <br />CITY'S proportionate share of costs incurred to design the Interchange Improvements <br /> <br />portion, as shown in Exhibit C, of the Project. It is estimated that REDWOOD CITY'S <br /> <br />pro-rata share of the costs of the Project will be 50% of the contract price shown in <br /> <br />Exhibit A. One-half of each invoice of project costs incurred in design of the Island park <br /> <br />Direct Access Improvements, as shown in Exhibit C, shall be paid for by each City. <br /> <br />2 <br />
