(o.1 b <br />the Property, all or some of the Equipment upon forty-eight (48) hours notice. <br />Licensee's failure to comply with City's direction pursuant to this Section may result in <br />the revocation of this License. <br />10. Indemnification. Licensee waives all claims against City its agents, <br />officers or employees for any damages to the Equipment in, upon or about the Property <br />and for injuries to any employees of Licensee or their agents in or about the Property <br />from any cause arising at any time, and Licensee will hold City, its agents, officers or <br />employees exempt and harmless from any damage or injury to any person, or any <br />property, arising from the use of the Equipment by Licensee, or from the failure of <br />Licensee to keep the Equipment in good condition and repair. <br />Licensee's indemnification will include any and all costs, expenses, <br />attorneys fees and liability incurred by City its officers, agents, or employees in <br />defending against such claims, whether the same proceed to judgment or not. <br />Licensee will, at its own expense and upon written request by City, defend <br />any such suit or action brought against City its officers or employees. Licensee <br />indemnification will not be limited by any prior or subsequent declaration by Licensee. <br />This section will survive the expiration or termination of this License. <br />11. Venue Licensee agrees and hereby stipulates that the proper venue and <br />jurisdiction for resolution of any disputes between the parties arising out of this License <br />is San Mateo County, California. <br />12. Insurance Licensee will acquire and maintain Workers' Compensation, <br />employer's liability, commercial general liability, owned and non -owned and hired <br />automobile liability insurance coverage relating to Licensee's use of the Property <br />pursuant to this License. The minimum amounts of coverage corresponding to the <br />aforesaid categories of insurance per insurable event shall be as follows: <br />Insurance Cateaon/ <br />Workers' Compensation <br />Minimum Limits <br />statutory minimum <br />Employer's Liability <br />Commercial General <br />Liability <br />Automobile Liability <br />$1,000,000 per accident for bodily injury <br />or disease <br />$1,000,000 per occurrence and <br />$2,000,000 aggregate for bodily injury, <br />personal injury and property damage. <br />$1,000,000 per accident and <br />$2,000,000 aggregate for bodily <br />F:Atty /Agr.122 <br />060403 <br />
