Property: 80 Chemical Way, Redwood City, CA <br /> APN: 052-392-190 <br /> Size in Acres: 0.697 <br /> Owner of Record: Schrader Leask Development, Inc. <br /> The City Council also directed the City Manager to return to the City Council with a <br /> memorandum of understanding setting forth the obligations of the County and the City <br /> to evaluate the suitability of the Woodhouse Industrial Pack Property as a potential <br /> location for the replacement jail facilities, and providing for assignment of the purchase <br /> option agreements to County, if the County determines the Woodhouse Industrial Park <br /> Property is a preferred site for the jail replacement facilities. <br /> The County has retained its own consultant to perform an Initial Study of the proposed <br /> replacement jail facility on the Woodhouse Industrial Park Property under the California <br /> Environmental Quality Act (CEQA), and will be the lead agency for the purpose of <br /> CEQA process and compliance. <br /> Memorandum of Understanding — Summary of Terms <br /> 9. County will reimburse City up to $433,258 of City's feasibility costs within 10 days <br /> following County's exercise of the options to purchase the Woodhouse Industrial <br /> Park Property. The exact amount of this payment will be reconciled against <br /> actual costs incurred by the City for due diligence associated with the purchase <br /> of Woodhouse Industrial Park Property. City has entered into contracts with third <br /> parties for due diligence work in the total amount of $477,008. <br /> 2. On or before December 20, 2010, County shall complete its due diligence and <br /> feasibility analysis and County will deliver to City either a notice of termination if <br /> County does not wish to proceed with acquisition of the Woodhouse Industrial <br /> Park Property, or an executed Assignment and Assumption Agreement if County <br /> desires to assume the purchase option agreements. <br /> 3. lf County desires to assume the purchase option agreements: <br /> a. County shall accept assignment and assume all obligations of City under <br /> the purchase option agreements by executing an Assignment and <br /> Assumption Agreement in the form attached to the MOU.
