EXHIBIT "A" <br /> SCOPE OF SERVICES <br /> CONSULTANT DUTIES: <br /> 1. Consultant will perform strategic fundraising and sponsorship development <br /> services related to the Downtown WOW Program sponsored by Agency at <br /> Courthouse Square which runs from May 2011 through October 2011. <br /> 2. Consultant will develop, solicit, and sell sponsorships for the Downtown <br /> WOW Program on the Courthouse Square. Such duties shall include, <br /> but are not limited to, cold calling, in- person presentations, proposal <br /> generation, and negotiating sponsorship terms for each potential <br /> sponsor. <br /> 3. Consultant will disclose to all potential sponsors that Consultant receives <br /> monetary compensation from Agency under this Agreement in exchange for <br /> Consultant's sponsorship solicitation services. <br /> AGENCY RIGHTS: <br /> Consultant's performance of the services is subject to the following: <br /> 1. Agency reserves the authority to approve and /or eliminate potential <br /> sponsors as specified in Consultant's proposed list of potential <br /> sponsors which will be furnished by Consultant to Agency upon <br /> execution of this Agreement. <br /> 2. Agency reserves the authority to review and approve written <br /> marketing materials utilized by Consultant in the scope of <br /> Consultant's duties. <br /> 3. Final approval of sponsors is subject to Agency approval. <br /> Consultant will refer potential sponsors to Agency staff for execution <br /> of a separate sponsorship agreement between sponsor and Agency. <br /> Agency reserves full authority to negotiate the terms of such <br /> sponsorship agreement. <br /> 4.
