ORRICK <br />OF COUNSEL <br />AREA 415 EXBROOK 2 -1120 <br />CABLE "ORRICK" <br />Pursuant to your request, I am writing to advise you as to <br />our fees in connection with the above three districts, as <br />follows: <br />1. Our fee for preparing all of the proceedings for the <br />formation of each of the three districts and all proceedings re- <br />lating to the benefit hearing in each of the three districts and <br />to the calling and holding of a special bond election in each <br />district on June 8, 1965 will be $3,000 (or $1,000 for each <br />district). This fee would be payable regardless of whether the <br />bond election in any one or more of the districts carries or <br />fails to carry and would be our total fee if all three elections <br />fail to carry. This fee would be payable along with the fees <br />quoted below if any of the elections carry and would be payable <br />after the elections if all of them fail. <br />2. If the bond election carries in all three of the <br />districts and if all of the bonds authorized for all three <br />districts are sold at a single sale, our fee for preparing the <br />proceedings for the authorization, issue and sale of the three <br />bond issues and for rendering our approving opinions on the <br />three bond issues will be $18,000 (making a total fee of $21,000 <br />if the fee for the formation and election proceedings is added). <br />3. if the bond election fails to carry in any one or more <br />of the districts, then, if all of the bonds of the district or <br />districts in which the bond election carries are sold at a single <br />sale, our fee for preparing the proceedings for the authorization, <br />issue and sale of bonds and for rendering our approving opinions <br />thereon will be computed on the following basis for the district <br />or districts in which the bond election carries: <br />(a) <br />District <br />No. <br />1 -65 ...... <br />$10,000 <br />(b) <br />District <br />No. <br />2 -65 ...... <br />5,000 <br />(c) <br />District <br />No. <br />3 -65 ...... <br />5,500 <br />f EXHIBIT "A" <br />
