8.A. - Page 4 <br /> The proposed First Amended and Restated Reimbursement and Processing Agreement <br /> is attached hereto as Attachment 1. <br /> 2. Amendments to Professional Service Agreements <br /> Previous Amendments & Agreement Approvals: <br /> Over the past two years, the City Council has approved several professional service <br /> agreements, and subsequent amendments, associated with the review of the Saltworks <br /> development proposal. On August 23, 2010, the City Council confirmed amendments to <br /> professional service agreements for the City's consultant team to continue the review <br /> and evaluation of the proposed Saltworks project, as well as to support public <br /> involvement through June 2011. The revised agreements also included additional scope <br /> and budget to allow the respective firms the ability to hire, where necessary, technical <br /> subject matter experts as sub-consultants. On February 7, 2011, the City Council <br /> confirmed the selection of special legal counsel Cecily Talbert Barclay, who was then at <br /> the firm of Bingham McCutchen LLP, and authorized a $500,000 work scope through <br /> June 2011. <br /> Further Amendments Requested Here: <br /> The current request involves scopes of services for the consultant team, Data Instincts; <br /> Hart Howerton; Hauge Brueck Associates; and Ms. Barclay's new firm, Perkins Coie, <br /> beyond the existing June 2011 authorization. The amendments to the contracts <br /> recommended by this report are intended to cover all work by the identified consultants <br /> through June 2012. <br /> The requested amendments focus on specific scopes of work and the associated costs <br /> for continued review and processing of the applications for the Saltworks development <br /> proposal, as they may be amended, and preparation of an initial Administrative Draft <br /> Environmental Impact Report (ADEIR). Amended applications are anticipated from the <br /> applicant in late spring or early summer 2011. Following receipt of such amended <br /> applications, a second Notice of Preparation of an Environmental Impact Report will be <br /> issued and work on the initial ADEIR will continue. The timing for completion of the <br /> ADEIR will ultimately relate to: a) the amount of input and comments received during <br /> the scoping period; b) the number of alternatives to be analyzed in the ADEIR; c) the <br /> preparation, review and verification of technical reports; and d) any additional direction <br /> provided by the City Council. <br /> The amendments to the Data Instincts, Hart Howerton, and HBA professional service <br /> agreements are necessary for the City's consultant team to continue the review and <br /> evaluation of the proposed Saltworks Project. <br /> Approval of the Perkins Coie scope of service reflects that the City's existing, authorized <br /> special counsel, Cecily Talbert Barclay, has moved to a new law firm since the time her <br /> work scope was originally confirmed by the City Council.
