Neither Shea nor Agency shall be liable for any real estate commissions or <br /> brokerage fees that may be claimed under this Agreement. Shea and Agency each <br /> represents that it has not engaged any broker, agent or finder in connection with the <br /> transactions contemplated in this Agreement. <br /> <br /> The liability of the Escrow Agent under this Agreement is limited to performance <br /> of the obligations imposed upon it under this article. <br /> <br /> §406 Recordation of Grant Deed or Grant Deeds <br /> <br /> Upon the close of Escrow, the Escrow Agent shall file the Grant Deed or Grant <br />Deeds for recordation among the land records in the Office of the County Recorder for <br />San Marco County, shall deliver the applicable purchase price, less the applicable <br />portion of the Letter of Credit, Cash Deposit or Cash Substitute, pursuant to Section 307 <br />of this Agreement and other required sums to Agency and shall deliver to Shea a title <br />insurance policy or policies insuring title irt conformity with Section 314 of this <br />Agreement. <br /> <br />Article 5. DEVELOPMENT OF THE SHEA PROJECT <br /> <br /> §501 Scope of Development <br /> The Shea Project shall be designed and developed in one or more phases as an <br />integrated residential, office and retail complex as shown in Attachments 4(a) and 4(b). <br />The buildings shall be designed with architectural excellence consistent with the Basic <br />Concept Drawings. The space around the buildings shall be designed, landscaped and <br />developed to the same level of architectural excellence. All development shall conform <br />to the applicable City codes and standards, as set forth in the Project Approvals. <br /> <br /> §502 Basic Concept Drawings <br /> The Shea Project shall be developed as generally established for the portion of the <br />Franklin Street Project Site comprised by the Shea Project in the Basic Concept Drawings <br />and related documents marked "Franklin Street Master Infrastructure Plan DDA Basic <br />Concept Drawings" dated May 19, 1999 and June 18, 1999 and approved heretofore or <br />concurrently herewith, (the "Basic Concept Drawings"), except such changes as may be <br />required by the City, as contemplated below. It is understood that the Basic Concept <br />Drawings serve two purposes: <br /> <br /> A. To assure Shea that, when the Shea Project has received all Project <br />Approvals and other necessary permits, it will still consist of approximately <br />300 residential units, approximately 40,560 square feet of office and retail space and <br />related improvements, and 35,000 square feet of replacement for commercial/warehouse <br />space with the same basic site layout as is shown on the Basic Concept Drawings. <br /> <br /> B. To assure Agency that the Shea Project will be bu/~lt to the level of <br />design quality illustrated in the Basic Concept Drawings which shall consist of: <br /> <br /> 1. A site plan showing buildings footprints, square footages, <br />preliminary landscaping and parking layout plans. The site plan will be annotated to <br />show the Shared Infrastructure and the anticipated Shea Project Infrastructure, as well as <br />design features of critical significance to Agency. <br /> <br /> 23 <br />wc-21875 <br /> <br /> <br />
