<br />5\6~2 <br /> <br />AMENDMENT NO.2 TO RATIFY, EXTEND AND AMEND AGREEMENT FOR <br />AFTER SCHOOL PROGRAM SERVICES <br /> <br />(CITY OF REDWOOD CITY AND REDWOOD CITY SCHOOL DISTRICT) <br /> <br />This Amendment No.2 is entered into and effective as of the - day of <br />December, 2004, ratifying, extending and amending the Agreement dated September 8, <br />2003 (the "Agreement") by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and the Redwood City School <br />District ("District") (cC?"ectively, the "Parties") for after school program services. <br /> <br />RECITALS <br /> <br />A On June 29, 2004, the Parties executed Amendment No.1 to the <br />Agreement for After School Program Services to increase compensation paid to City; <br />and <br /> <br />B. The Parties desire to alter the Agreement's scope of work and fee <br />schedule to include the following schools: Fair Oaks, Hawes, John Gill, Selby Lane and <br />Roosevelt; and <br /> <br />D. The Parties desire to extend the Agreement for a period of one year from <br />June 20, 2004 to June 20, 2005, and to ratify any work completed from June 20, 2004 <br />to the date first above written; and <br /> <br />E. The Parties have negotiated and agreed to a supplemental scope of work <br />and fee schedule, which is attached to and incorporated in this Amendment No.2 by <br />this reference as Exhibit "A," Scope of Services and Fee. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, City will provide those services described in Exhibit <br />"A" With this Amendment No.2, the total annual Agreement amount shall not exceed <br />Two Hundred Fifty-Seven Thousand Nine Hundred Seventeen Dollars ($257,917). <br /> <br />2. District will pay City for all work associated with those services described <br />in Exhibit "A" on a time and materials basis not-to-exceed Two Hundred Fifty-Seven <br />Thousand Nine Hundred Seventeen Dollars ($257,917). City will provide District, on a <br />monthly basis, copies of invoices sufficiently detailed as agreed to by the Parties. <br /> <br />3. Any work completed from June 20, 2004 to the date first above written is <br />hereby ratified by the Parties. <br /> <br />4. <br /> <br />The Agreement is hereby extended until June 20, 2005. <br /> <br />Atty/Agr/Amendments/RCSD After School.2 <br />122004 <br />
