I �-l� Gardner Center pursuant to section 6) above, any portion of the funds that has not been expended prior to notice of such termination may only be expended with the advance written approval of the Gardner Center. Redwood City 2020 will allocate from its budget a sum of $15,000 towards its work to further the Community Schools model. 8) ACC��UNTING The EIemE:ntary School District and Redwood City 2020 agree to provide the Gardner Center an accounting of the expenditure of funds provided by the Gardner Center pursuant to Paragraph 7 of this Agreement. Such accounting shall be provided on an annual basis no later than thirty (3G) days after the end of the Agreement term and shall include supporting documentation as reasonably requested by the Gardner Center. 9) INDEMNITY Each party hereto ("indemnitor") hereby agrees to defend, indemnity, and save harmless each other Party and its respective governing board, council, officers, boards commissions, agents, trustees, officers and employees (collectively, "Indemnitees") against and from any and all claims, suits, actions of every name, kind and description, which may be brought against indemnities, or any of them, by reason of any injury to, or death of, any person (including corporations, partnerships and associations) or damage suffered or sustained by any such person arising from, or alleged to have arisen from, any act or omission to act, negligent or otherwise, of indemnitors, its officers, agents or employees under this Agreement. 10)ENTIRE AGREEMENT This Agreement embodies the entire Agreement and understanding between the Parties relating to the subject matter of it. Neither this Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed by the parties. 11) MODIFICATIONS Modification of this Agreement shall be made in writing and by mutual cunsent of the parties hereto.
