$. /cz-)?" f I ' ARTICLE III OFFICERS Section 3.1 Officers The officers of the Committee shall be Chair and a Vice Chair and shall be elected from the membership of the Committee pursuant to MO 96-311 dated December 16, 1996 (attached to and incorporated by reference into these by-laws). Section 3.2 Election and Term The Officers of the Committee shall be elected annually at the first regular meeting in July. No officer shall serve more than two successive one-year terms in any position. Section 3.3 Resignation Any officer may resign at any time by giving wrítten notice to the Committee. Any such resignation shall take effect at the date of receipt of such, or by any later time specified therein. The acceptance of such resignation shall not be necessary to make it effective. Section 3.4 Committee Chair The Committee Chair shall, if present, preside at all meetings of the Committee and exercise and perform such other powers and perform such of the duties as from to time may be prescribed for them by the Committee . Section 3.5 Vice Chair ~ In the absence or disability of the Committee Chair, the Vice-Chair shall perform the duties of the Committee Chair, and when so acting, shall have all the powers of, and be subject to all restrictions upon the Chairperson. The Vice-Chair shall have such other powers and perform such of the duties as from to time may be prescribed for them by the Committee. ARTICLE IV SUBCOMMITTEES Section 4.1 Subcommittees The Committee may create one or more subcommittees, consisting of those Committee members interested in the specific topic to be addressed. A subcommittee shall be suggested by the Committee Chair or by any two- (2) members of the Committee and be established by an affirmative vote of a majority of the Committee, and shall not 5
