� ' DUPLICATE ORIGINAL <br /> FIRST AMENDMENT TO AGREEMENT BETWEEN <br /> CITIES OF REDWOOD CITY AND SAN CARLOS <br /> FOR FIRE & EMERGENCY SERVICES <br /> This First Amendment to Agreement for Fire & Emergency Services ("AmendmenY') is <br /> entered into as of�� 2011, by and between the City of Redwood City a charter city <br /> and municipal corporation of the State of California ("Redwood City"), and the City of San <br /> Cazlos, a municipal corporation ("San Cazlos"), collectively "Participating Agencies." <br /> RECITALS <br /> WHEREAS, Redwood City and San Cazlos entered into that certain Agreement between <br /> Cities of Redwood City and San Carlos for Fire & Emergency Services ("Original AgreemenP') <br /> on July 7, 2011 for the delivery of certain fire and emergency services. <br /> WHEREAS, Section 2(b) of the Original Agreement provides that compensation may be <br /> increased or decreased on an annual basis, except that in no case shall the increase or decrease <br /> exceed three percent (3%) each year. <br /> WHEREAS, Section 5 ofthe Original Agreement includes a blank space that was not filled <br /> in when fully executed by the Participating Agencies, and is ambiguous as to the commencement <br /> and termination dates. <br /> WHEREAS, the Participating Agencies now seek to revise Section 2 of the Original <br /> Agreement relating to the three percent (3%) cap, and clarify Section 5 of the Original Declaration <br /> relating to the commencement and termination of the Original Agreement. <br /> WHEREAS, the Participating Agencies desire to amend the Original Agreement as set <br /> forth herein. <br /> Now therefore, the Participating Agencies, for and in consideration of the mutual benefits, <br /> covenants and agreements set forth herein, agree as follows: <br /> 1. Incorporation of Recitals. The above recitals aze incorporated herein by this <br /> reference. <br /> 2. Amendments to Ori in�al A_ereement. The Original Declaration is amended as <br /> follows: <br /> a. Section 2(b) of the Original Declaration (Compensation) is revised to read as <br /> follows: <br /> "(b) The total cost of this service will be reviewed annually and <br /> amended to reflect actual increase or decrease in cost, except that in <br /> no case shall the increase or decrease exceed three percent (3%) <br /> each year. An annual review shall occur in January of each yeaz. <br /> Notwithstanding the above, if Redwood City's costs escalate beyond <br /> ATTY/AGR/2071/AMENDMENTISAN CARLOS FIRE & EMERGENCY SERVICES <br /> 082311 <br />
