Serve as fiscal agent between the Grove Foundation and REDWOOD C[TY 2020 <br /> for Phase II of the LIBRE initiative. <br /> 4. Compile the data for use in reports. <br /> 5. Attend and participate in monthly Steering Committee meetings. <br /> 6. Take on Steering Committee tasks to support the success of the LIBRE initiative. <br /> ARTICLE V <br /> INDEMNIFICATION and INSURANCE <br /> REDWOOD CITY 2020 will defend, indemnify and hold harmless LIBRE and the Legal Aid <br /> Society of San Mateo County and its officers, agents, employees and volunteers from and <br /> against all claims, damages, losses and expenses including attorney fees arising out of the <br /> performance of its obligations, caused in whole or in part by the willful misconduct or any <br /> negligent act or omission of REDWOOD CITY 2020 any subcontractor, anyone directly or <br /> indirectly employed by any of them or anyone for whose acts any of them may be liable, <br /> except where caused by the active negligence, sole negligence, or willful misconduct of <br /> LIBRE. <br /> REDWOOD C[TY 2020/City of Redwood City will obtain and maintain policies of <br /> commercial general liability insurance, automobile liabiliry insurance, a combined policy of <br /> workers' compensation, employers liability insurance, and professional liability insurance <br /> from an insurance company authorized to transact the business of insurance in the State of <br /> California. <br /> ARTICLE V[ <br /> COMPENSATION <br /> LASSMC will pay REDWOOD CITY 2020 $5,000 for the services set forth above. Payment � <br /> shall be made upon receipt of this MOU by the Legal Aid Society of San Mateo County on <br /> behalf of LIBRE fully executed by REDWOOD CITY 2020 and the Executive Director of Legal <br /> Aid Society of San Mateo County on behalf of LIBRE. <br /> AMENDMENT: <br /> This MOU may be amended at any time by mutual agreement of the LIBRE Collaborative <br /> and City Manager, City of Redwood City <br /> TERMINATION: <br /> This MOU and any amendments thereof shall remain in effect until superseded by a later <br /> MOU or terminated by either party by a written notice thirry (30) days prior to the effective <br /> termination date. <br /> LIBRE Steering Committee MOU Phase II 3 , <br />
